RESERVED LEASE AGREEMENT

This Reserved Lease Agreement ("Agreement") is made between Landlord and Tenant as of the Effective Date set forth below. The parties agree that the Landlord will reserve the identified premises and the Tenant will lease the premises upon satisfaction of the reservation conditions and payment of required deposits, subject to the terms and conditions contained herein.

Default, Remedies & Termination

Tenant default includes failure to pay rent, breach of material lease covenants, committing waste, or unlawful use. Upon Tenant default and after any notice or cure period required by law, Landlord may terminate the Lease, recover possession, recover unpaid rent and damages, and pursue all remedies available at law or in equity, including recovery of reasonable attorney fees and collection costs.

If Landlord defaults in a material obligation, Tenant may pursue available remedies including specific performance, damages, and termination where permitted by law. Any right to terminate for Landlord default shall be exercised only after written notice and a reasonable opportunity to cure.

Entry by Landlord

Landlord may enter the premises as permitted by law for inspection, repairs, maintenance, or showing to prospective tenants or purchasers upon reasonable advance notice, except in cases of emergency where no notice is required.

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Premises are located. This Agreement, including any written addenda or attachments executed by the parties, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements. Any amendment must be in writing and signed by both parties.

Miscellaneous Provisions

Severability: If any provision of this Agreement is held invalid, the remainder of the Agreement shall remain in full force and effect. Waiver of any breach shall not constitute waiver of subsequent breaches. Time is of the essence with respect to Tenant's payment obligations.
