SCOPE OF WORK

Verifier shall conduct a residency verification (the Services) as described below. The Services shall include document inspection, confirmation calls or correspondence with third parties where permitted, and preparation of a written verification report attesting to the resident's occupancy status during the relevant period.

PAYMENT TERMS

Client agrees to compensate Verifier for the Services in accordance with the following terms. Fees are earned upon completion of the verification report and invoicing.

TERM AND TERMINATION

This Agreement commences on the Commencement Date and continues until completion of the Services or the End Date, unless earlier terminated pursuant to the terms below.

Termination for cause: Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches any covenant herein and fails to cure such breach within the notice period specified above.

CONFIDENTIALITY

Each Party shall treat as Confidential Information all non-public information obtained from the other Party or third parties in connection with the Services, including resident personal data and documentary evidence. Confidential Information shall not be disclosed except: (a) to employees, agents, or subcontractors who need access to perform the Services and who are bound by confidentiality obligations; (b) as required by law or valid legal process; or (c) with the prior written consent of the disclosing Party. The Parties shall implement reasonable administrative, technical, and physical safeguards to protect Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any written verification report and exhibits incorporated herein, constitutes the entire agreement between the Parties with respect to the Services and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral.

CERTIFICATION AND ATTESTATION

Verifier certifies that the verification performed and the statements contained in the verification report are true, accurate, and based on the documents and inquiries identified herein. Verifier further certifies that it made reasonable efforts commensurate with industry standards to ascertain the resident's occupancy status for the period specified.

Client acknowledges that reliance on the verification report is subject to the limitations and qualifications expressly stated by Verifier. Material misrepresentation of information provided to Verifier may result in civil remedies and recovery of damages; intentional falsification may expose the submitting Party to additional legal liability.
