RESIDENTIAL AGENCY AGREEMENT

This Residential Agency Agreement ("Agreement") is entered into between Client Name: and Broker/Brokerage: Date of Agreement:

4. LIST PRICE AND MARKETING

Broker will develop and implement a marketing plan for the Property, which may include professional photography, online advertising, open houses, signage, and submission to cooperating brokers. Client authorizes Broker to incur marketing expenses on Client's behalf only with prior written consent.

5. COMPENSATION

Client agrees to pay Broker a commission equal to of the gross sales price, subject to a minimum commission of .

Commission shall be earned and payable at closing from sale proceeds or as otherwise agreed in writing. If Client procures a buyer, or the Property is sold during the Term to a purchaser introduced by Broker, Client shall owe the agreed commission. Broker represents that Broker holds all required licenses and will exercise reasonable professional skill and care in marketing the Property. Client represents that Client is the owner or has authority to sell the Property and will disclose all material facts known to Client that may affect the value or desirability of the Property.

If Client breaches this Agreement, Broker shall be entitled to recover the commission provided herein, together with costs and attorneys' fees reasonably incurred in enforcing Broker's rights. If Broker breaches this Agreement, Client's remedies shall be limited to actual damages. Client agrees to indemnify, defend and hold Broker harmless from claims arising from Client's failure to disclose material facts.

10. GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by the laws of the state of and constitutes the entire agreement of the parties regarding the subject matter and supersedes prior discussions and agreements.

11. COOPERATION AND AUTHORIZATION
