RESIDENTIAL ASSIGNMENT OF LEASE

RECITALS

6. Indemnification. Assignor shall indemnify, defend and hold harmless Assignee and Landlord from and against any claims, liabilities, losses or damages arising from Assignor's breach or acts prior to the Effective Date. Assignee shall indemnify, defend and hold harmless Assignor and Landlord from and against any claims, liabilities, losses or damages arising from Assignee's acts or omissions after the Effective Date.

DEFAULT; REMEDIES

7. Default. A material breach of this Assignment by either party constitutes a default. The non-defaulting party shall be entitled to exercise all remedies available at law or in equity, including specific performance where appropriate. Remedies are cumulative and exclusive of any other remedy provided by the Lease.
