DUTIES AND AUTHORITY

Broker agrees to use professional efforts to locate and show properties, to advise Buyer regarding market conditions and contract terms, to present offers and counter-offers promptly, and to keep Buyer informed of material facts known to Broker. Broker does not guarantee the condition, value, or habitability of any property.

Buyer agrees to cooperate with Broker, to provide accurate information, to negotiate in good faith, and to promptly provide required documentation. Buyer authorizes Broker to obtain, on Buyer's behalf, relevant documents, reports, and verifications necessary for purchase transactions.

DUAL OR DESIGNATED AGENCY

Broker may act as a dual agent or designated agent if the Broker represents both Buyer and Seller in the same transaction. Dual agency requires written consent. By initialing below, Buyer gives or withholds consent:

DEFAULT, REMEDIES, AND INDEMNIFICATION

If Buyer defaults under a purchase contract, Buyer may remain obligated to pay Broker's compensation pursuant to this Agreement if Broker earned such compensation under the terms hereof. Broker may pursue all remedies available at law or in equity. Buyer shall indemnify and hold Broker harmless from claims, costs, and expenses arising from Buyer's breach, except to the extent caused by Broker's willful misconduct.

DISPUTE RESOLUTION & GOVERNING LAW

Any controversy or claim arising from this Agreement shall be resolved by binding arbitration if the parties mutually agree in writing. Absent an agreement to arbitrate, disputes shall be resolved in a court of competent jurisdiction. This Agreement shall be governed by the laws of the state in which the Property is located.

Buyer agrees to submit disputes under this Agreement to binding arbitration if initialed by both parties.

NOTICES

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and may be amended only by a written instrument signed by both parties. If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.
