Inspections, Financing and Contingencies

Broker will assist Buyer in securing inspections and financing in accordance with the purchase agreement. Buyer remains responsible for any contingencies in the purchase contract, including financing, appraisal, and inspection contingencies. If Buyer elects to waive contingencies, Buyer acknowledges having consulted with Broker and other advisors as desired.

Broker shall disclose if Broker or Broker's affiliated licensees represent both Buyer and Seller in a proposed transaction (dual agency). Buyer acknowledges receipt of any required written disclosure regarding dual agency and consents to dual agency where permitted by law:

Broker will disclose any known material conflicts of interest, and Buyer agrees to disclose any material facts that may affect the transaction.

Confidentiality and Records

Broker will keep confidential all information provided by Buyer that is not otherwise required to be disclosed by law, except as necessary to perform Broker's duties, to obtain financing, to present offers, or as authorized by Buyer in writing.

Indemnification; Limitation of Liability

Buyer agrees to indemnify Broker for liabilities arising from Buyer's breach of this Agreement or Buyer-provided false information. Broker's liability for claims arising out of this Agreement is limited to direct damages and shall not include consequential, punitive or exemplary damages, except for willful misconduct or gross negligence.

Termination

This Agreement may be terminated by either party upon written notice to the other party, subject to any obligations for transactions initiated during the term or within the protection period specified above. Termination does not relieve Buyer of obligations to pay compensation for transactions as provided in this Agreement.

Governing Law; Entire Agreement

This Agreement shall be governed by the laws of the state where the property is located. This Agreement contains the entire understanding between the parties concerning Broker's representation of Buyer and supersedes all prior agreements, whether oral or written. Any amendment must be in writing and executed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact information provided above. Notices are effective upon personal delivery, confirmed electronic delivery, or three days after deposit with the United States Postal Service prepaid.

Acknowledgments

Buyer acknowledges receipt of a copy of this Agreement, represents that Buyer has read and understands this Agreement, and has had the opportunity to consult with independent counsel prior to signing.
