WHEREAS, Client desires to engage Contractor to provide residential cleaning services at the premises identified above; and

WHEREAS, Contractor represents that it has the skill, experience, equipment, and insurance necessary to perform the cleaning services in a professional manner; and

WHEREAS, the parties wish to set forth the terms and conditions under which Contractor will perform such services.

Either party may terminate this Agreement for convenience upon providing days' prior written notice. Termination for material breach may be immediate if the breaching party fails to cure within a reasonable period after written notice.

CONFIDENTIALITY

Contractor will treat as confidential all non-public information learned in the course of performing services, including alarm codes, personal schedules, and information about household occupants. Contractor shall not disclose such information except as required by law or with Client's written consent. This obligation survives termination of this Agreement for a period of two years.

ACCESS, KEYS, AND SECURITY

Client shall provide Contractor with necessary access to the premises. Client is responsible for securing and returning any keys or access devices; Contractor may charge a reasonable fee for replacement or rekeying if keys are lost or not returned.

CANCELLATION

Cancellations made less than prior to scheduled service may be subject to a cancellation fee equal to or the full price of the scheduled visit.

INSURANCE AND LIABILITY

Contractor represents that it maintains general liability insurance applicable to the services. Contractor's liability for any claim arising out of this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Contractor in the three months preceding the claim. In no event shall Contractor be liable for incidental, special, or consequential damages.

INDEMNIFICATION

Each party agrees to indemnify, defend, and hold harmless the other party from and against claims, liabilities, losses, and expenses arising from the indemnifying party's negligence or willful misconduct in connection with the performance of this Agreement.

FORCE MAJEURE

Neither party shall be liable for failure or delay in performance caused by events beyond its reasonable control, including natural disasters, governmental action, or public health emergencies. The affected party shall notify the other and use reasonable efforts to resume performance.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. Venue for any dispute shall lie in the state or federal courts located within that state.

ENTIRE AGREEMENT

This Agreement, together with any written attachments and schedules executed by the parties, constitutes the entire agreement between Client and Contractor regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings. Any amendment must be in writing and signed by both parties.
