This Agreement is conditioned upon Buyer's ability to obtain financing within days of contract acceptance. If financing is not obtained within the stated period, Buyer may terminate consistent with the termination provisions herein.

5. Title, Closing Costs and Prorations

Title shall be conveyed by general warranty deed free of encumbrances except those approved in writing by Buyer. Title shall be evidenced by an owner’s policy of title insurance at closing. Closing costs, recording fees, transfer taxes and prorations of HOA dues, taxes and utilities shall be allocated as follows: Seller pays ; Buyer pays .

Risk of loss or damage to the Property shall remain with Seller until closing, except ordinary wear and tear. If substantial damage occurs prior to closing, Buyer may elect to (a) accept assignment of any insurance proceeds and close, (b) require Seller to repair prior to closing, or (c) terminate this Agreement and receive return of all deposits, unless otherwise agreed in writing.

7. Default and Remedies

If Buyer defaults, Seller's remedies shall include retention of earnest money as liquidated damages and pursuit of specific performance where permitted. If Seller defaults, Buyer may seek return of deposits and specific performance or damages. The prevailing party in any suit to enforce this Agreement shall be entitled to reasonable attorneys' fees and costs.

8. HOA Documents and Right to Review

Seller shall deliver condominium association governing documents, financial statements and any pending assessment notices to Buyer within a reasonable time prior to the expiration of the inspection period. Buyer’s failure to timely review or terminate under any adverse findings constitutes acceptance of such documents.

9. Insurance and Utilities

From and after closing, Buyer shall obtain homeowner's insurance and be responsible for utilities and service contracts for the unit. Seller shall maintain existing insurance until closing. Any insurance claims pending at closing shall be disclosed and addressed in writing.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. The parties agree that this Agreement, including all attachments and exhibits, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements.

Notices shall be in writing and delivered to the addresses set forth in this Agreement or as updated in writing by the parties. Any modification of this Agreement must be in writing and signed by both parties.
