RESIDENTIAL DEPOSIT AGREEMENT

This Residential Deposit Agreement (this Agreement) is entered into as of the Effective Date below by and between the parties listed herein for the purpose of documenting the terms under which a deposit is delivered in connection with the prospective purchase of the real property described below.

Refund Conditions: The deposit shall be refunded to Buyer if this Agreement is terminated in accordance with contingencies expressly set forth herein, including within the Inspection Period or pursuant to an unsatisfied Financing Contingency, provided Buyer timely gives Seller written notice as required by this Agreement.

Forfeiture and Liquidated Damages: If Buyer unilaterally defaults under a fully executed purchase agreement incorporating this deposit and no contingency applies, the deposit shall be forfeited to Seller as liquidated damages for Buyer’s breach, provided such forfeiture is not prohibited by applicable law. Acceptance of deposit by Seller shall not waive Seller’s right to seek specific performance where available.

CONTINGENCIES

Inspection Period: Buyer shall have days from receipt of notice of deposit to complete inspections. If Buyer notifies Seller in writing within that period that inspections are unsatisfactory, Buyer may elect to terminate and obtain refund of the deposit in accordance with the procedures set forth in this Agreement.

Financing Contingency: If marked Yes, Buyer shall have until to obtain written loan commitment; failure to do so permits termination and refund of deposit as provided herein.

DEFAULT, REMEDIES AND LIMITATIONS

Upon a party's material breach of this Agreement, the non-breaching party shall be entitled to pursue any remedy available at law or in equity, subject to the provisions herein. With respect to Buyer default, Seller may retain the deposit as liquidated damages as provided above, pursue specific performance, or seek all other remedies permitted by law. Retention of the deposit shall not preclude Seller from seeking additional damages where permitted by law and subject to any applicable mitigation obligations.

MISCELLANEOUS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located, without regard to conflict of law principles.

Entire Agreement: This Agreement, together with any executed purchase agreement and escrow instructions referenced herein, constitutes the entire agreement between the parties with respect to the deposit and supersedes all prior understandings, whether written or oral.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
