Guaranty Covenant

For valuable consideration, Guarantor absolutely and unconditionally guarantees to Landlord the full and punctual payment of all Rent and other monetary obligations and the full and timely performance of all non-monetary obligations of Tenant under the Lease. Guarantor's obligations are primary, continuing and independent of any obligation of Tenant and may be enforced by Landlord without first resorting to remedies against Tenant or any collateral.

Representations and Warranties of Guarantor

Guarantor represents and warrants that Guarantor is duly authorized and has legal capacity to enter this Guaranty, that no proceeding pending or threatened will impair performance, and that Guarantor's execution and performance will not violate any agreement or law to which Guarantor is subject.

Defaults and Remedies

Upon Tenant's default under the Lease, Landlord may pursue any remedy against Tenant and Guarantor permitted by law or equity, including recovery of unpaid Rent, damages for breach, costs of re-letting, and reasonable attorneys' fees. Guarantor waives demand, presentment, protest, notice of dishonor, notice of default, and notice of any renewal, extension, or modification of the Lease.

Indemnity and Costs

Guarantor shall indemnify Landlord against all liability, loss, damage, costs, and expenses (including reasonable attorneys' fees and costs of enforcement) arising from Guarantor's breach of this Guaranty or from Tenant's default under the Lease.

Subrogation and Reimbursement

Guarantor shall not exercise any rights of subrogation, reimbursement, or indemnity against Tenant until all obligations under the Lease are indefeasibly paid in full and all claims by Landlord have been fully satisfied.

Notices shall be in writing and delivered by hand, nationally-recognized overnight courier, or certified mail, and shall be effective upon receipt.
