Change Orders; Defaults; Remedies

Change Orders: Any change to the Scope of Work shall be documented in writing as a Change Order signed by Client and Contractor. Additional time and compensation due to Change Orders will be agreed in writing prior to performance.

Default and Remedies: If Client fails to pay amounts when due, Contractor may suspend work after seven (7) days' written notice. If Contractor fails to perform materially, Client may provide written notice and Contractor shall have a reasonable cure period. Remedies available are limited to repair, replacement or payment, and do not include consequential damages except as required by law.

Governing Law & Entire Agreement

This Proposal and any resulting agreement shall be governed by the laws of the state in which the Property is located. This Proposal, together with any executed Change Orders, constitutes the entire agreement between the parties and supersedes all prior negotiations and representations. Any modification must be in writing and signed by both parties.
