RESIDENTIAL INTERIOR DESIGN AGREEMENT

Recitals

WHEREAS, Client Name: is the owner of the residential property located at Project Address: (the "Property");

WHEREAS, Designer Name: has professional experience in providing residential interior design services and consultative procurement and installation services for residential properties; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the design services to be provided for the Project.

Scope of Work

Designer shall provide the professional services described below. The Scope of Work shall include all design, documentation, procurement coordination and installation oversight specifically listed in the Deliverables. Any services not explicitly described require a Change Order as set forth in this Agreement.

Change Orders

Any modification to the Scope of Work or the fees must be documented in a written Change Order signed by both parties. Change Orders shall describe the change, the impact on fee and schedule, and any additional terms required.

Permits, Approvals and Client Responsibilities

Client is responsible for obtaining all necessary permissions, approvals and access to the Property and must provide accurate information concerning property conditions, budget limitations and scheduling constraints. Designer may rely on such information and is not responsible for concealed conditions.

Ownership of Documents

Design drawings, specifications, proposals and other documents created by Designer are instruments of service. Upon full payment of all fees due, Designer grants Client a non-exclusive license to use the deliverables for the Project. Designer retains the right to use concepts and images for portfolio and marketing purposes unless an express written restriction is agreed.

Confidentiality

Each party shall keep confidential all non-public information obtained from the other party in connection with the performance of this Agreement and shall not disclose such information to third parties except as required to perform the services, as required by law, or with prior written consent. Confidential information does not include information that is generally available to the public without breach of this Agreement.

Insurance; Limitation of Liability; Indemnity

Designer shall maintain professional liability and general liability insurance where commercially reasonable. Parties agree that Designer's total liability for any claim related to this Agreement shall not exceed the total design fees paid by Client for the applicable services. Client shall indemnify and hold Designer harmless from claims arising from Client-supplied information, decisions or alterations not approved by Designer.

Term and Termination

This Agreement commences on Start Date: and continues until Completion Date: , unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon written notice equal to Notice Period (days): . Termination for cause may be effected if a party materially breaches this Agreement and fails to cure within 15 days after receipt of written notice of breach.

Upon termination, Client shall pay Designer for all services performed and costs incurred through the effective date of termination, including any non-cancellable commitments.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of . The parties shall attempt in good faith to resolve disputes by negotiation. If unresolved, disputes shall be submitted to binding arbitration under rules mutually agreed or, if not agreed, administered by a recognized arbitration forum in the governing state.

Entire Agreement; Amendment

This Agreement, including any attached exhibits or executed Change Orders, constitutes the entire understanding between the parties with respect to the Project and supersedes prior negotiations and agreements. Any amendment must be in writing and signed by both parties.

Notices

Notices under this Agreement shall be sent to the addresses provided above or to such other address as either party designates in writing. Notice shall be effective upon personal delivery, three days after deposit with the postal service, or upon confirmed electronic transmission to the email addresses provided.

Miscellaneous Provisions

The parties are independent contractors. Neither party may assign this Agreement without the other's prior written consent, except that Designer may assign to an affiliate or in connection with a sale of its business. If any provision is held unenforceable, the remainder shall remain in effect.
