Upon Landlord's execution of this Waiver and receipt of the agreed consideration, Landlord releases Tenant from the specific claims expressly waived herein arising prior to the Effective Date of this Waiver and covenants not to bring legal action for those waived claims. This release does not apply to claims not expressly identified by checked items above. This Waiver is not an assignment of, nor does it modify, any duties of Tenant under the Lease except as expressly provided.

Conditions and Reinstatement of Rights

The waiver granted by Landlord is conditioned upon Tenant's timely performance of the obligations described in this Waiver and the Lease. Should Tenant fail to comply with the conditions set forth herein or in the Lease, Landlord's waived rights will be automatically reinstated to the extent provided by law and the Lease. Reinstated rights may include, but are not limited to, assessment of fees, termination of tenancy, and pursuit of legal remedies for subsequent defaults.

Representations and Authority

Each party represents and warrants that it has the full legal authority to enter into this Waiver, that execution of this Waiver is not in violation of any other agreement, and that the person signing on behalf of each party is authorized to bind that party.

Miscellaneous Provisions

Severability: If any provision of this Waiver is determined to be invalid or unenforceable, the remainder of this Waiver will remain in full force and effect. Entire Agreement: This Waiver constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes any prior oral or written agreements to the extent they conflict with this Waiver. No Other Waiver: No failure or delay by Landlord in exercising any right shall operate as a waiver of such right except as expressly set forth in this Waiver. Governing Law: This Waiver shall be governed by the substantive laws of the state in which the Property is located without regard to its conflict of law rules.
