This Residential Laundry Services Agreement (the Agreement) is made between:

Recitals

WHEREAS, Service Provider is engaged in the business of providing residential laundry and related textile-care services and represents that it has the skill, personnel, equipment and licenses necessary to perform such services; and

WHEREAS, Client desires to retain Service Provider to perform laundry services for Client's residence on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Scope of Work

Service Provider will provide residential laundry services (the Services) as specified below. Services include pickup, washing, drying, folding, and delivery of garments and household textiles, subject to the exclusions and special instructions set forth in this Agreement.

Client is responsible for all applicable taxes relating to the Services unless otherwise stated in writing.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within days following written notice.

Confidentiality

During the term of this Agreement and for two (2) years thereafter, each party shall hold in confidence and not disclose to any third party any non-public information of the other party marked or reasonably understood to be confidential (Confidential Information). Confidential Information does not include information that: (a) is or becomes generally known to the public through no fault of the receiving party; (b) is lawfully received from a third party without restriction; or (c) is independently developed by the receiving party without reference to the disclosing party's Confidential Information.

The receiving party may disclose Confidential Information to its employees, agents or subcontractors on a need-to-know basis provided such persons are bound by confidentiality obligations no less protective than those contained herein.

Insurance, Liability and Indemnification

Service Provider shall maintain general liability insurance and, if applicable, workers' compensation insurance in amounts customary for the industry. Service Provider is responsible for loss or damage caused by its negligence in the performance of services. Client shall promptly notify Service Provider of any damage or loss and provide reasonable cooperation in investigating claims.

Each party agrees to indemnify and hold harmless the other party from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from the indemnifying party's negligent acts or willful misconduct in connection with this Agreement.

Performance Standards and Exclusions

Service Provider will exercise reasonable care in laundering and handling Client's garments and textiles. Client shall notify Service Provider of any garments requiring special treatment. Service Provider is not liable for pre-existing stains, shrinkage, color transfer caused by manufacturers' defects, or damage attributable to improper labeling or improper care instructions supplied by Client.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law provisions. The parties shall first attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes shall be resolved by binding arbitration conducted in the county of the Service Provider's primary place of business unless the parties agree otherwise in writing.

Entire Agreement; Amendment; Assignment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign this Agreement to an affiliated entity or in connection with a sale of substantially all of its business assets.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and do not affect interpretation. The parties are independent contractors and nothing in this Agreement creates an employment, partnership or joint venture relationship.
