6. Mutual Release. Subject to the provisions concerning security deposit accounting and any amounts expressly reserved in this Agreement, upon Tenant's full performance of its obligations under this Agreement, Landlord and Tenant release each other from all claims arising under the Lease accruing prior to the Termination Date, except for claims for breach of the terms of this Agreement or obligations that by their nature survive termination.

7. Default. If Tenant fails to vacate the Property by the Termination Date or breaches any material obligation of this Agreement, Landlord may pursue all remedies available at law or equity, including recovery of possession, unpaid rent, damages, and costs (including reasonable attorneys' fees if provided by law or the Lease). If Landlord breaches this Agreement, Tenant may pursue available legal remedies.

Miscellaneous Provisions

8. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located.

9. Entire Agreement. This Agreement constitutes the entire agreement between the parties relating to termination of the Lease and supersedes any prior oral or written agreements on that subject. Any amendment must be in a written instrument signed by both parties.

10. Notices. Any notices required or permitted under this Agreement shall be in writing and delivered in accordance with the notice provisions of the Lease or as otherwise specified by the parties in writing.
