Release and Indemnity

Release of Assignor: Upon Landlord's written consent and Assignee's full assumption of obligations, Landlord shall release Assignor from future liability under the Original Lease to the extent set forth in a separate written release. If no release is executed, Assignor remains secondarily liable for obligations arising prior to the release.

Indemnity: Assignee shall indemnify and hold harmless Assignor and Landlord from claims, losses or damages arising from Assignee's use or occupation of the Property following the Effective Transfer Date, except to the extent caused by Assignor's prior acts or omissions.

Default and Remedies

A default by Assignee under the assumed obligations shall entitle Landlord to exercise all remedies available under the Original Lease and at law or equity. If Assignor remains liable, Landlord may pursue Assignor for damages resulting from Assignor's prior defaults.

Governing Law: This Agreement is governed by the laws of the state in which the Property is located. Venue for disputes shall lie in the county or judicial district where the Property is located.

Entire Agreement: This Agreement, together with the Original Lease and any written release or consent executed by Landlord, constitutes the entire agreement among the parties concerning the Transfer and supersedes prior oral or written statements.
