RESIDENTIAL LEASE VACANCY AGREEMENT

Parties and Purpose

This Residential Lease Vacancy Agreement (the Agreement) is made between Owner: and Agent/Manager: . The parties agree the Property described below is vacant or will become vacant and the Agent is authorized to prepare, market, and re-lease the Property under the terms set forth herein.

Leasing and Marketing Authority

Owner grants Agent the exclusive authority to: advertise, show, screen applicants, execute residential lease agreements on behalf of Owner, and collect first month's rent and security deposit for the purpose of re-leasing the Property. Agent's authority is limited to activities reasonably necessary to re-lease the Property and to incur expenses only as authorized below.

Financial Terms

If Agent collects security deposit or initial rent, Agent shall hold such funds in a trust account and shall forward accounting and funds to Owner or disburse in accordance with the executed lease and applicable law. Agent shall not apply security deposit to Agent fees without Owner's prior written consent.

Repairs, Maintenance, Utilities, and Preparation

Owner authorizes Agent to order routine cleaning and necessary minor repairs up to the amount of without prior Owner approval. For repairs or capital improvements exceeding that amount, Agent shall obtain Owner's prior written approval, except where immediate action is required to prevent imminent damage or liability.

Condition, Access, and Keys

Owner certifies that the Property will be delivered vacant and broom-clean. Owner will provide Agent with keys, alarm codes, and access necessary to show the Property. Owner acknowledges transfer of keys and access as indicated below:

Tenant Screening and Applications

Agent will present all qualified applicants to Owner for final approval unless Owner provides standing written authorization to approve specified criteria below:

Security Deposit and Accounting

Agent shall account to Owner for all rents, security deposits, and collected funds within business days of receipt. Disposition of existing tenant security deposits shall be handled in accordance with the executed lease, applicable law, and the written instructions provided by Owner.

Indemnity, Insurance, and Liability

Owner shall maintain property insurance covering the Property and shall carry liability insurance as required by law. Owner agrees to indemnify, defend, and hold Agent harmless from and against all claims, losses, liabilities, damages, costs, and expenses arising from Owner's failure to maintain insurance or from conditions of the Property that predate Agent's performance, except to the extent caused by Agent's gross negligence or willful misconduct.

Default, Termination, and Remedies

Either party may terminate this Agreement upon ten (10) days' written notice to the other party for material breach. In the event of Owner's termination prior to a lease being executed while Agent has procured a ready, willing, and able tenant acceptable to Owner, Owner shall be obligated to pay Agent the reletting/commission fee stated above. Remedies under this Agreement are cumulative and available in law or equity.

Governing Law and Entire Agreement

This Agreement shall be governed by the laws of the state in which the Property is located. This Agreement constitutes the entire agreement between the parties concerning the vacancy and reletting of the Property and supersedes all prior negotiations and understandings. Amendments must be in writing and signed by both parties.
