Default and Remedies

Failure by Tenant to pay rent when due, to comply with material terms of this agreement, or to vacate after lawful termination shall constitute default. Upon default, Landlord may pursue available remedies under applicable law including possession, damages, and reasonable costs and attorney's fees incurred to enforce this Agreement. Tenant shall be liable for all unpaid rent through the end of the term less amounts the Landlord reasonably obtains from re-letting.

Assignment and Subletting

Tenant shall not assign or sublet the premises, or any part thereof, without the prior written consent of Landlord, which consent shall not be unreasonably withheld. Any assignment or subletting without such consent is void and may constitute default.

Governing Law; Entire Agreement; Severability

This Agreement shall be governed by and construed in accordance with the laws of the state in which the premises are located. This Agreement, together with any attachments signed by the parties, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements. If any provision is held invalid, the remaining provisions shall continue in full force and effect.
