Insurance and Indemnity

Lessee shall maintain motor vehicle liability insurance covering all permitted vehicles using the parking space and shall indemnify, defend and hold Lessor harmless from any loss, damage, liability, or expense arising out of Lessee's use of the parking space except to the extent caused by Lessor's gross negligence or willful misconduct.

Assignment: Lessee shall not assign, sublet or transfer this Agreement or use of the parking space without prior written consent of Lessor. Amendment: This Agreement may be amended only in a writing signed by both parties. Waiver of a breach does not waive subsequent breaches.
