Owner shall ensure that the pool area complies with applicable safety requirements. Provider is not responsible for injuries resulting from Owner's failure to maintain required safety barriers or from willful misconduct by third parties.

DISCLOSURES

Owner certifies the following conditions as applicable to the Property:

WARRANTIES; LIMITATIONS

Provider warrants that services will be performed in a competent and workmanlike manner consistent with industry standards. Except as expressly set forth in writing, Provider gives no other warranties, express or implied. Provider's liability shall be limited to direct damages and shall not exceed the total fees paid by Owner under this Agreement for the three (3) months preceding the claim.

INDEMNIFICATION

Each party shall indemnify, defend and hold the other harmless from claims, liabilities and expenses arising from its negligent acts or omissions in the performance of this Agreement, except to the extent caused by the other party's negligence or willful misconduct.

DEFAULT; REMEDIES

In the event of a material breach, the non-breaching party shall provide written notice specifying the breach and a reasonable period to cure. If the breach remains uncured, the non-breaching party may terminate this Agreement and pursue any remedies available at law or equity, including recovery of costs and reasonable attorneys' fees incurred in enforcing this Agreement.

GOVERNING LAW; MISCELLANEOUS

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements. Any amendment must be in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the contact address for each party set forth above by hand, certified mail, or overnight courier, and shall be effective upon receipt.

DISPUTE RESOLUTION

The parties agree to attempt to resolve disputes by good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the parties' agreement on the arbitrator and venue, and judgment on the award may be entered in any court of competent jurisdiction.
