1. Lease Term

6.2 Landlord Obligations. Landlord shall maintain the structural components, major plumbing, electrical systems, and appliances provided by Landlord in good repair in accordance with applicable habitability standards.

6.3 Alterations. Tenant shall not make structural alterations, additions or improvements without Landlord's prior written consent. Unauthorized alterations may be removed at Tenant's expense.

7. Entry by Landlord

Landlord may enter the Premises in case of emergency without prior notice. For non-emergency matters, Landlord shall give Tenant reasonable notice and shall enter only at reasonable times for inspection, repairs, or to show the Premises to prospective tenants or purchasers, except as otherwise permitted by law.

8. Default and Remedies

8.1 Events of Default. Tenant shall be in default if Tenant fails to pay rent when due, breaches any material covenant of this Agreement, or abandons the Premises. Landlord shall have all remedies available at law and in equity, including termination of the tenancy, monetary damages, and recovery of possession.

8.2 Acceleration and Costs. In the event of breach by Tenant, Landlord may recover reasonable attorneys' fees, court costs, and any costs of reletting including any rent deficiency.

9. Holdover

Any holding over after the expiration or termination of this Agreement without Landlord's written consent shall constitute a tenancy at sufferance and Tenant shall be liable for holdover damages equal to one and one-half times the monthly rent, or the maximum allowed by law, plus any other remedies available to Landlord.

10. Subletting and Assignment

Tenant shall not sublet or assign the Premises, or any part thereof, without Landlord's prior written consent, which shall not be unreasonably withheld. Any attempted assignment or subletting without such consent shall be void and constitute a breach.

11. Insurance and Liability

Tenant is strongly encouraged to obtain renter's insurance to cover Tenant's personal property and liability. Landlord's insurance does not cover Tenant's personal property. Tenant shall be liable for injury or damage caused by Tenant's negligence or willful acts.

12. Indemnification

Tenant shall indemnify, defend and hold Landlord harmless from all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Tenant's use or occupancy of the Premises, except to the extent caused by Landlord's gross negligence or willful misconduct.

13. Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered personally, by certified mail, or by commercially recognized overnight courier to the addresses set forth above or to such other address as either party may designate in writing.

14. Amendments; Waiver

This Agreement may be amended only by a written instrument executed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party granting the waiver. A waiver of any breach shall not constitute a waiver of any subsequent breach.

15. Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Premises are located. Any action relating to this Agreement shall be brought in the state or federal courts located in the county where the Premises are located.

16. Entire Agreement; Severability

This Agreement constitutes the entire agreement between the parties concerning the Premises and supersedes all prior negotiations, representations, or agreements, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Counterparts

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed originals for all purposes.
