RESIDENTIAL RENTAL LISTING AGREEMENT

This Residential Rental Listing Agreement (the "Agreement") is entered into between the parties identified below for the purpose of listing the real property described herein for rent and for procuring a tenant pursuant to the terms and conditions set forth. Owner(s) hereby engage Broker as exclusive agent to advertise, show, and negotiate leases for the Property during the Listing Term described in Section 3.

4. LISTING AND MARKETING AUTHORITY

Broker is authorized to market the Property by all customary means including signs, internet advertising, printed materials, tenant broker networks, and multiple listing services. Broker may place Property on showing schedules and accept tenant applications and holding deposits on Owner's behalf, subject to Owner's screening policy set forth below.

6. TENANT SCREENING & APPLICATIONS

Broker shall conduct tenant credit, criminal, rental history, and income verification screenings in compliance with applicable fair housing and privacy laws. Broker may collect application fees and holding deposits; holding deposits shall be retained in Broker's trust account and applied according to the terms of any accepted rental agreement or refunded in accordance with any applicable landlord-tenant law.

7. PROPERTY CONDITION, UTILITIES & MAINTENANCE

Owner represents that the Property is in habitable and lease-ready condition and that Owner will disclose known defects. Owner is responsible for maintenance and repairs except for tenant-caused damage. Owner authorizes Broker to arrange routine repairs up to the amount of without prior Owner approval; repairs in excess of that amount will require Owner authorization except in emergency situations threatening tenant safety or property integrity.

9. OWNER OBLIGATIONS

Owner shall: (a) maintain required hazard and liability insurance covering the Property and name Broker as additional insured for acts of Broker in marketing and showing the Property; (b) provide Broker with keys, alarm information, and accurate property information; and (c) disclose known material facts affecting habitability or tenant safety. Owner agrees to indemnify and hold Broker harmless from claims arising from Owner misrepresentations or failure to maintain the Property.

10. BROKER DUTIES & LIMITATIONS

Broker will exercise reasonable efforts to locate qualified tenants, perform marketing and screening, and present rental offers to Owner. Broker does not guarantee tenant performance and does not assume responsibility for tenant nonpayment or breach of lease beyond Broker's obligations to procure tenant applications and make reasonable disclosures.

11. DEFAULT, TERMINATION & REMEDIES

Either party may terminate this Agreement for material breach after providing ten (10) days' written notice to the other party to cure the breach. If Owner terminates without cause during an exclusive listing term or refuses to execute a lease procured by Broker on materially the terms presented, Broker shall be entitled to the agreed commission as liquidated damages, not a penalty.

12. COMPENSATION DISPUTES

Any dispute regarding Broker's right to compensation shall be resolved by binding arbitration under the commercial arbitration rules of the jurisdiction identified in Section 15. Broker's right to commission survives termination of this Agreement with respect to any tenant introduced to the Property by Broker during the Listing Term or who executes a lease within thirty (30) days after termination with substantially similar terms.

13. HOLDING DEPOSITS, TRUST FUNDS, AND ACCOUNTING

Broker shall hold all tenant deposits in a trust account and account for such funds in accordance with applicable law. Broker shall remit to Owner net rents and refundable deposits in accordance with lease terms and after deduction of amounts authorized in writing by Owner or permitted by law.

14. INDEMNITY & INSURANCE

Each party shall indemnify and hold the other harmless from losses, claims, damages and liabilities arising from its negligent acts or omissions or breach of this Agreement. Owner shall maintain property and liability insurance covering the Property and shall provide proof of insurance upon request.

15. GOVERNING LAW; ENTIRE AGREEMENT

This Agreement is governed by the laws of the state in which the Property is located. This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations and understandings. Any amendment must be in writing and signed by both parties.

16. ADDITIONAL PROVISIONS

Owner acknowledges receipt of a copy of this Agreement and authorizes Broker to proceed in accordance with its terms.
