RESIDENTIAL RENTAL MANAGEMENT AGREEMENT

This Residential Rental Management Agreement (the "Agreement") is made on between Owner: and Manager: .

Property Identification

Appointment; Term

Owner hereby appoints Manager as exclusive agent to manage, lease and operate the Property on the terms set forth herein. The initial term of this Agreement begins on and ends on (the "Term"), and shall automatically renew thereafter on a month-to-month basis unless terminated pursuant to Section Termination below.

Manager Authority and Duties

Manager shall act as fiduciary for Owner with respect to the performance of this Agreement. Manager's duties include, but are not limited to, the following:

Marketing and showing units; Tenant screening and selection; Executing and enforcing leases on behalf of Owner.

Manager is authorized to sign leases, notices and related documents on behalf of Owner for terms not to exceed months and to collect rents, security deposits and other sums due from tenants.

Leasing and Tenant Funds

Manager shall receive and hold security deposits in a trust or custodial account in accordance with applicable law. Owner authorizes Manager to disburse security deposit funds for lawful deductions and to return balances to tenants following lease termination.

Compensation; Payment

Manager may retain late charges, NSF fees and administrative fees as set forth above and shall be reimbursed for expenses incurred on Owner's behalf. Owner authorizes Manager to deduct fees and reimbursements from rents collected prior to disbursement to Owner.

Maintenance; Repairs; Emergency Authority

Manager shall arrange for routine maintenance and repairs as needed. For any single repair or emergency expense exceeding , Manager shall obtain Owner's prior authorization except where immediate action is required to prevent imminent damage or risk to tenant health and safety.

Insurance and Liability

Owner shall maintain property and liability insurance covering the Property in amounts customary for similar properties and shall list Manager as an additional insured or certificate holder where requested. Manager does not provide insurance for Owner's loss of income or property damage and is not liable for loss except to the extent such loss results from Manager's gross negligence or willful misconduct.

Manager shall provide monthly statements of account showing receipts, disbursements, fees and reserves. Funds collected shall be deposited into a trust account titled . Reconciliation and final accounting shall be provided within 30 days of termination.

Termination

Either party may terminate this Agreement upon days' prior written notice. Owner shall remain responsible for Manager's fees and costs incurred for services performed prior to the effective date of termination, including leasing commissions earned on leases procured by Manager.

Indemnification; Limitation of Liability

Owner shall indemnify, defend and hold Manager harmless from all claims, liabilities, losses and expenses (including reasonable attorney fees) arising out of Owner's negligent acts or omissions or from conditions of the Property, except to the extent caused by Manager's gross negligence or willful misconduct. Manager's liability for damages shall be limited to direct damages and shall not include consequential or punitive damages.

Default; Remedies

A party in material breach of this Agreement shall be given written notice and shall have 30 days to cure. If the breach is not cured, the non-breaching party may pursue all remedies at law or in equity, including specific performance, injunctive relief and recovery of costs and attorneys' fees.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of . This Agreement constitutes the entire agreement between the parties with respect to the Property and supersedes all prior agreements and understandings, whether written or oral.

Notices

Miscellaneous

No waiver of any breach shall be deemed a waiver of any other right hereunder. If any provision of this Agreement is held invalid, the remainder shall remain in full force and effect. This Agreement may be executed in counterparts, each of which shall be deemed an original.
