RESIDENTIAL ROOF REPLACEMENT AGREEMENT

This Residential Roof Replacement Agreement (the Agreement) is entered into by and between the parties identified below for the roof replacement work described herein. The parties agree as follows.

PARTIES AND PROPERTY

1. SCOPE OF WORK

Contractor shall furnish all labor, materials, equipment, permits and supervision necessary to perform roof replacement at the Property in accordance with the specifications set forth below and any attached drawings or schedules. Work shall include removal of existing roofing, inspection and repair of decking as specified, installation of underlayment, flashing, ventilation and new roof covering.


2. CONTRACT PRICE & PAYMENT

Owner shall pay Contractor the Total Contract Price in accordance with the payment schedule below. All amounts are in U.S. dollars.

Contractor shall submit invoices for each payment item. Owner shall make payments within the time specified in the payment schedule. Final payment is due upon substantial completion, receipt of final lien waivers and any required warranties and closeout documentation.

3. SCHEDULE

Time is of the essence for completion. Liquidated damages for late completion shall be: $ per calendar day unless otherwise agreed in writing.

4. PERMITS, INSPECTIONS AND CODE COMPLIANCE

All work shall comply with applicable codes and be subject to required permits and inspections.


5. MATERIALS, WARRANTIES & GUARANTEES

Contractor warrants that installed materials will conform to the specifications and that workmanship shall be free from defects for the workmanship warranty period below. Manufacturer warranties apply as stated by manufacturer and are provided to Owner upon final payment.

6. CHANGE ORDERS

Any change in the scope, price or schedule shall be executed only by a written change order signed by both parties. No verbal change orders shall be binding.

7. INSURANCE, INDEMNITY & LIABILITY

Contractor shall maintain commercial general liability insurance, worker's compensation and automobile liability insurance as required by law and with limits adequate for this work. Contractor shall indemnify and hold Owner harmless from claims arising out of Contractor's performance except to the extent such claims arise from Owner's negligence.

8. MECHANICS' LIENS AND PAYMENTS

Contractor shall not suffer or permit any mechanic’s or materialman’s lien to remain against the Property. Upon receipt of each payment, Contractor shall provide conditional or unconditional lien waivers as appropriate.

9. DEFAULT, CURE & TERMINATION

If Owner terminates for Contractor default, Owner may complete the work and charge Contractor for reasonable costs; payments due to Contractor will be offset by such costs consistent with applicable law.

10. CLEANUP, SITE ACCESS & DAMAGE

Contractor shall maintain a clean work site, perform daily cleanup of debris and remove all job-related materials at completion. Contractor shall repair any damage to the Property caused by Contractor or its subcontractors to the condition existing prior to commencement of work, except for normal wear and tear.

11. DISCLOSURES

The following disclosures identify known conditions at the Property relevant to roof replacement.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by the laws of the state in which the Property is located. This Agreement, including any attachments and incorporated documents, constitutes the entire agreement between the parties concerning the subject matter. If any provision is held invalid, the remaining provisions shall remain in full force and effect.

13. NOTICES

All notices required by this Agreement shall be in writing and delivered to the addresses listed below by hand delivery, certified mail, or other means providing written confirmation of delivery.

14. ATTACHMENTS & EXHIBITS
