DEFAULT, REMEDIES, AND RISK OF LOSS

If Buyer fails to timely perform, Seller may terminate this Contract and retain Earnest Money as liquidated damages or seek specific performance. If Seller fails to perform, Buyer may seek specific performance or damages. Risk of loss to the Property remains with Seller until Closing, except for casualty loss which shall be addressed below.

If material damage occurs prior to Closing, Seller shall promptly notify Buyer. Buyer may elect to (a) terminate and receive return of Earnest Money, or (b) proceed to Closing and receive an allowance or repair credit. Election must be delivered in writing within days of notice.

MAINTENANCE, UTILITIES, AND ACCESS

Between Contract acceptance and Closing, Seller shall maintain the Property in substantially the same condition and shall not remove fixtures or personal property that are part of the sale. Utilities shall be paid through the date of Closing unless otherwise agreed in writing.
