Residential Service Contract

THIS RESIDENTIAL SERVICE CONTRACT (the Contract) is entered into effective as of (Effective Date), by and between Service Provider: , and Client: .

WHEREAS

WHEREAS, Service Provider is engaged in the business of performing residential services and represents that it is qualified, licensed, and insured to perform the services described herein; and

WHEREAS, Client desires to engage Service Provider to perform the services at the property located at (Service Address) in accordance with the terms and conditions set forth in this Contract; and

WHEREAS, the parties desire to set forth the scope, payment terms, schedules, and other terms governing the provision of such services.

Scope of Work

Service Provider shall perform the following services at the Service Address described above. Services shall be performed in a professional and workmanlike manner in accordance with industry standards.

Payment Terms

The Client shall pay Service Provider for satisfactory performance of the services in accordance with the terms set forth below.

Term and Termination

This Contract shall commence on and shall continue until , unless earlier terminated in accordance with this section.

Either party may terminate this Contract for convenience upon days' written notice to the other party. Termination for cause may be immediate where a party materially breaches its obligations and fails to cure within a reasonable time after written notice.

Confidentiality

Each party acknowledges that in the performance of this Contract it may receive confidential or proprietary information of the other party. Each party agrees not to disclose such information to third parties and to use the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable degree of care. Confidential information does not include information that is or becomes publicly available without breach of this Contract, independently developed, or required to be disclosed by law or court order (provided the disclosing party gives prompt notice where legally permitted).

Insurance; Liability

Service Provider shall maintain, at its expense, general liability insurance and any other insurance required by applicable law and sufficient to cover claims arising from the performance of services under this Contract. Minimum limits and types of coverage shall be as set forth below or otherwise agreed in writing.

Except to the extent caused by Service Provider's gross negligence or willful misconduct, Service Provider's liability for damages arising under this Contract shall be limited to direct damages not to exceed the total amount paid by Client to Service Provider under this Contract for the specific services giving rise to the claim.

Warranties; Remedies

Service Provider warrants that services will be performed in a professional and workmanlike manner for a period of days from completion. This warranty does not cover damage due to normal wear and tear, misuse, or acts beyond Service Provider's control. Client's sole remedy for breach of the warranty shall be repair or re-performance of the deficient services at Service Provider's expense.

Change Orders

Any change to the scope of work, price, or schedule shall be made only by written change order signed by both parties. Change orders shall describe the modification, the change in compensation (if any), and any adjustment to the schedule.

Permits, Access & Utilities

Client shall obtain and pay for all permits, inspections, and fees required by governmental authorities for the work unless otherwise agreed in writing. Client shall provide Service Provider reasonable access to the property and utilities necessary for performance.

Indemnification

Each party shall indemnify, defend, and hold harmless the other party from and against claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) to the extent arising from the indemnifying party's negligence, willful misconduct, or breach of this Contract.

Governing Law

This Contract shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Dispute Resolution

The parties shall attempt in good faith to resolve disputes arising under this Contract by negotiation. If the parties are unable to resolve a dispute within a reasonable time, the dispute shall be resolved by binding arbitration before a single arbitrator in accordance with the procedures agreed by the parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction.

Entire Agreement

This Contract, including any attachments and executed change orders, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment to this Contract shall be effective unless in writing and signed by both parties.
