RESIDENTIAL SERVICE ORDER

WHEREAS, Service Provider: is a licensed provider of residential services and agrees to perform services described herein; and

WHEREAS, Client Name: is the owner or authorized occupant of the premises identified below and requests Service Provider to perform the services under the terms and conditions of this Residential Service Order.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows.

4. Materials, Permits & Subcontractors

Materials specified in the Scope of Work shall be of good quality and conform to industry standards. Service Provider shall obtain required permits unless otherwise agreed. If permits are to be obtained by the Client, Client shall deliver permits to Service Provider before work commencement.

Service Provider may engage qualified subcontractors to perform portions of the Work. Service Provider remains responsible for performance and compliance with this Order.

6. Changes & Unforeseen Conditions

Any change to the Scope of Work shall be executed only by a written Change Order signed by both parties. If unforeseen conditions or concealed conditions are discovered, Service Provider shall notify Client and provide a written proposal for additional work and cost. Work shall not proceed on additional items until Client approves the Change Order in writing.

7. Term and Termination

This Order commences on and shall continue until the Completion Date specified above or until terminated under this Section.

Either party may terminate this Order for material breach if the other party fails to cure such breach within days after written notice. If Client terminates for convenience, Client shall pay Service Provider for work performed, materials purchased, and reasonable demobilization costs.

8. Confidentiality

Each party shall treat as confidential all non-public information disclosed by the other party in connection with this Order and shall not use or disclose such information except as necessary to perform obligations hereunder or as required by law. Confidential obligations do not apply to information that is or becomes publicly available through no fault of the receiving party.

9. Warranties, Insurance & Liability

Service Provider warrants that services will be performed in a professional manner consistent with industry standards for a period of from completion. EXCEPT AS EXPRESSLY PROVIDED, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

Each party shall maintain insurance appropriate to its obligations. Neither party shall be liable to the other for incidental, consequential, or punitive damages except where such damages arise from gross negligence or willful misconduct.

10. Indemnification

Each party agrees to indemnify, defend, and hold harmless the other party from and against claims, liabilities, losses, and expenses arising out of its negligence, willful misconduct, or breach of this Order, subject to any limits provided by applicable law.

11. Governing Law

This Order shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules.

12. Entire Agreement

This Residential Service Order, including any attached Change Orders and exhibits signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, and agreements, whether written or oral.
