What the Residential Short Sale Addendum Is

A Residential Short Sale Addendum is a contract attachment used in real estate transactions when the seller's outstanding mortgage balance exceeds the expected sale proceeds. It documents the parties' agreement to seek lender approval for a reduced payoff, allocates responsibilities for obtaining the lender's short sale authorization, and sets contingencies and timelines tied to lender decisions and investor requirements. The addendum supplements the purchase contract without replacing it and typically requires signatures from buyer, seller, listing agent, and lender representative when lender approval is granted.

Why include a Short Sale Addendum in a purchase

The addendum clarifies the process when a sale is contingent on lender consent, protects buyers and sellers by setting deadlines and contingency remedies, and creates an auditable record for lender review. It reduces ambiguity about who pays closing costs, who provides payoff figures, and what happens if the lender rejects the short sale.

Why include a Short Sale Addendum in a purchase

Who typically completes or signs this addendum

Parties and professionals involved with a residential short sale often work together to complete the addendum and coordinate lender communication.

  • Buyers — Review contingency terms and confirm financing or inspection conditions before signing.
  • Sellers — Provide payoff information, hardship documentation, and authorize lender contact or agent negotiation.
  • Listing and Buyer Agents — Prepare the addendum, submit lender requests, and track approval timelines.

Clear role assignment in the addendum reduces delays and helps preserve contractual rights for all parties while lender approval is pending.

Common preparation mistakes to avoid

  • Providing incomplete hardship documentation delays lender review and often triggers additional information requests that prolong approval.
  • Mismatched names or loan numbers prevent the lender from matching the short sale package to the correct mortgage account, causing rejections.
  • Unclear deadline language or missing contingency removal terms can create disputes about which party bears risk if the lender misses review dates.
  • Failing to include HOA, tax, or junior lien information can lead to title exceptions and delayed or canceled closings.

Consequences of errors or missing approvals

Contract breach: Buyer or seller may face damages
Title defects: Unresolved liens can block closing
Deficiency exposure: Seller may remain liable for shortfall
Tax reporting: Forgiven debt may trigger 1099-C
Delayed closing: Costs and deadlines may shift
Lender denial: Sale may revert to foreclosure process
