RESIGNATION AGREEMENT

This Resignation Agreement (the "Agreement") is made and entered into as of by and between Employer Name: , located at , and Employee Name: , residing at .

RECITALS

WHEREAS, Employee is presently employed by Employer in the position of ; and

WHEREAS, Employee has delivered written notice of resignation effective on (the "Resignation Date"); and

WHEREAS, the parties desire to set forth in writing their agreement regarding the terms of Employee's resignation, final compensation, transition responsibilities, and mutual releases and obligations.

NOW, THEREFORE

In consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. EFFECTIVE RESIGNATION

Employee's resignation shall be effective on the Resignation Date specified above. Employee shall cease performing duties for Employer at the close of business on that date unless otherwise agreed in writing. Any accrued but unpaid salary or wages through the Resignation Date will be paid in accordance with Employer's normal payroll practices.

2. CONSIDERATION

In exchange for Employee's execution of this Agreement and compliance with its terms, Employer agrees to provide the following consideration, subject to the conditions set forth below:

The Severance Payment is conditioned upon: (a) Employee's execution of this Agreement and timely delivery thereof within the period set forth in the signature block below; (b) Employee's performance of the obligations in Sections 4 through 7 of this Agreement; and (c) Employee's absence of any material breach of Employer policies or applicable law prior to the Resignation Date.

3. BENEFITS AND ACCRUED COMPENSATION

Employer shall pay any accrued but unpaid vacation or paid time off through the Resignation Date in accordance with Employer policy. Employer makes no promise to continue benefits beyond date specified by applicable benefit plans and law; any continuation or conversion of benefits such as health insurance is subject to plan terms and applicable law. Employee shall be responsible for any taxes due on amounts paid under this Agreement as required by law.

4. RETURN OF PROPERTY

Employee shall return to Employer, on or before the Resignation Date, all Employer property, including keys, identification badges, computers, electronic devices, records, documents, and any confidential materials. Employee certifies that, except as disclosed in writing below, Employee has returned all such property and has not retained copies.

5. CONFIDENTIALITY OF TERMS

Except as required by law or as necessary to obtain advice from Employee's legal or tax advisors, Employee agrees to keep the existence, terms, and conditions of this Agreement strictly confidential. Employer may disclose the terms of this Agreement to its legal and financial advisors and as required by law. Breach of this confidentiality obligation shall entitle the non-breaching party to injunctive relief and damages.

6. NON-DISPARAGEMENT

Employee agrees not to make any false, disparaging, or derogatory statements concerning the business, practices, or personnel of Employer. Employer agrees that it will not make disparaging statements about Employee's performance or character. This Section does not prohibit truthful statements required by law or court order.

7. RELEASE AND WAIVER

In consideration of the payments and benefits described in Section 2, and other good and valuable consideration, Employee hereby fully and forever releases and discharges Employer and its affiliates, subsidiaries, officers, directors, employees, agents and successors from any and all claims, demands, actions, causes of action, liabilities, obligations, and damages of every nature, whether known or unknown, which Employee has or may have as of the date Employee signs this Agreement arising out of or relating to Employee's employment or separation from employment, except for claims that cannot by law be released. Employee acknowledges that this release is knowingly and voluntarily given.

8. COOPERATION; TRANSITION

Following the Resignation Date, Employee agrees to reasonably cooperate with Employer and its counsel regarding matters known to Employee and arising prior to the Resignation Date, including providing information and testimony if requested and reasonably necessary. Any such cooperation will be on reasonable notice and, where appropriate, compensated at a mutually agreed rate if outside ordinary transition activities.

9. TAXES

Employer will withhold federal, state and local taxes from any payments where required by law and will report such payments to the relevant taxing authorities as required. Employee is solely responsible for payment of any taxes not withheld by Employer and for any penalties and interest resulting from Employee's failure to pay taxes timely.

10. NO ADMISSION

The parties acknowledge and agree that this Agreement does not constitute an admission by Employer of any wrongdoing, liability, or violation of law, and shall not be construed as such in any proceeding.

11. NOTICES

Any notice required or permitted under this Agreement shall be in writing and delivered personally or sent by certified mail, return receipt requested, to the addresses set forth below or to such other address as either party may designate by written notice to the other.

12. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflicts of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising under this Agreement.

13. ENTIRE AGREEMENT; AMENDMENTS; SEVERABILITY

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written. Any amendment to this Agreement must be in writing and signed by both parties. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect, and the invalid provision shall be reformed to the extent necessary to make it enforceable while preserving the parties' intent where possible.

14. WAIVER; COUNTERPARTS

Waiver of any breach of any provision of this Agreement shall not constitute a waiver of any subsequent breach. This Agreement may be executed in counterparts and by electronic signature, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

15. REPRESENTATIONS

Each party represents and warrants that it has the full power and authority to enter into this Agreement; that the person signing on its behalf is authorized to do so; and that no other consents or approvals are required to make this Agreement binding.
