What a Resource Recovery Agreement Covers

A Resource Recovery Agreement is a legally binding contract that sets the terms for collecting, transporting, processing, repurposing, or disposing of recovered materials and byproducts. It identifies the parties, defines material types and quality specifications, records chain-of-custody and testing procedures, allocates costs and payments, and assigns liability and indemnity for environmental or regulatory claims. These agreements often address delivery schedules, acceptance testing, data reporting, and insurance requirements. Many organizations execute them between generators, haulers, recyclers, processors, and municipal authorities to manage reuse, recycling, and waste diversion programs.

Why use a Resource Recovery Agreement

A clear written agreement reduces operational risk and documents responsibilities for material quality, transport, and payment. It helps meet regulatory and auditing needs.

Why use a Resource Recovery Agreement

Who typically prepares and signs this agreement

Typical parties include public agencies, waste generators, haulers, recyclers, processors, and brokers.

  • Municipalities and public works departments responsible for diversion programs and permitting.
  • Commercial generators and manufacturing facilities that ship recovered materials.
  • Third-party haulers and processors that receive, test, and process materials.

Legal, environmental compliance, and operations teams should review contract language before execution to limit exposure and ensure regulatory alignment.

Essential sections to include in a professional agreement

A complete Resource Recovery Agreement organizes responsibilities, technical obligations, commercial terms, and remedies so each party’s expectations are explicit and enforceable.

Parties

Full legal names and contact details for each contracting entity; include legal entity type and signing authority.

Scope

Precise description of materials, acceptable contamination levels, weight/volume units, and any prohibited substances.

Pricing

Unit pricing, pass-through fees, payment terms, invoicing cadence, and any credits or tipping fees.

Delivery & Acceptance

Delivery schedule, inspection and sampling protocols, acceptance criteria, and dispute resolution for rejected loads.

Liability

Indemnity, insurance minimums, limits of liability, and responsibilities for environmental remediation or fines.

Configuring online workflows for this agreement

Set up a signing flow that matches your approval order and authentication needs.

Signing Order Sequential or parallel signer order to match internal approval processes.
Authentication Level Email link, SMS code, or advanced signer verification depending on risk.
Attach Exhibits Include manifests, test reports, or permits as embedded exhibits.

Where to send executed agreements and related records

Identify recipients and filing destinations to support regulatory reporting and contract administration.

  • Contract Administrator: Primary executed copy retained by contracting party for contract management.
  • Operations / Dispatch: Supply logistics and pickup teams with delivery and acceptance terms.
  • Environmental Compliance: Send copies to environmental or permitting teams for regulatory records.
  • Accounting: Invoice and payment teams receive pricing and billing contact details.

Technical considerations for eSigning and document handling

Choose file formats, integrations, and authentication that meet your security and workflow needs.

  • File Formats: PDF or DOCX recommended for fidelity and archival.
  • Integrations: Connectors to ERPs and CRMs reduce manual data entry.
  • Authentication: Use multi-factor options for higher-risk transactions.

Confirm the chosen eSignature platform supports required compliance controls (audit trail, tamper-evident PDFs, BAA if handling PHI) and integrates with systems like NetSuite, Salesforce, Procore, or Google Workspace to streamline routing and records retention.

Practical tips for clearer, enforceable agreements

Adopt these practices to reduce disputes, speed execution, and improve enforceability.

Use precise units and tests
Define weight/volume units, sampling methods, and lab standards to remove ambiguity and expedite acceptance decisions.
Limit subjective terms
Avoid vague language like 'reasonable quality'; quantify acceptable tolerances for contaminants or moisture content.
Assign responsibility
Specify which party pays for sampling, testing, transport, and any corrective actions to avoid cost disputes.
Archive executed records
Store signed PDFs with audit trails and retain related manifests and test reports for the full retention period.

Use-case examples for Resource Recovery Agreements

These two practical scenarios show how agreements structure responsibilities and reduce operational friction.

Municipal Recycling Program

A city and recycling processor agree on contamination thresholds and monthly reporting

  • Parties set a 2% contamination limit to allow automated acceptance
  • The contract standardizes manifests, test methods, and billing, reducing disputes and enabling consistent diversion metrics across contractors.

Industrial Byproduct Supply

A manufacturer sells washed byproduct to a recycler for feedstock

  • The agreement defines sampling frequency and pricing per ton
  • Clear acceptance testing and payment timing enabled the parties to scale deliveries and avoid shipment rejections that previously delayed production.
