RECITALS

This Response Rule Document (the Agreement) is entered into as of by and between Client Name: and Service Provider Name: .

WHEREAS, Client requires defined response rules and procedures for handling requests, incidents, and inquiries directed to Service Provider; and

WHEREAS, Service Provider represents that it has the personnel, systems, and expertise necessary to receive, triage, respond to, and escalate such matters in accordance with the standards and timeframes set forth below; and

WHEREAS, the parties desire to define their respective obligations, response priorities, escalation procedures, payment terms, confidentiality obligations, and governing law for the services contemplated herein.

Service Provider shall perform response services as described below. The Scope of Work identifies the types of requests covered, priority classifications, response time objectives, and the escalation path to be used when response objectives are not met.

PAYMENT TERMS

In consideration for the services described in this Agreement, Client shall pay Service Provider pursuant to the terms below. All payments are due in accordance with the schedule and are non-refundable except as expressly provided herein.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and, unless earlier terminated in accordance with this section, shall continue until the End Date or until terminated as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period set forth above following written notice of the breach. Immediate termination without cure shall be permitted where there is insolvency, bankruptcy filing, or unauthorized disclosure of Confidential Information.

CONFIDENTIALITY

Each party shall maintain in confidence all information disclosed by the other party that is marked or reasonably understood to be confidential, including but not limited to technical, operational, financial, and customer information (Confidential Information). Confidential Information shall not include information that is: (a) in the public domain through no fault of the receiving party; (b) rightfully received from a third party without obligation of confidentiality; or (c) independently developed by the receiving party without use of Confidential Information.

The receiving party shall use Confidential Information solely for the purpose of performing its obligations under this Agreement and shall restrict disclosure to those employees, contractors, and agents who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Upon termination or expiration of this Agreement, the receiving party shall return or certify destruction of Confidential Information as requested by the disclosing party, except to the extent retention is required under applicable law or for archival backup purposes.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below, without regard to conflicts of law principles. The parties shall first attempt in good faith to resolve disputes through negotiation. If negotiation fails, disputes shall be resolved by binding arbitration or by the courts as agreed below.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith a replacement provision that, to the extent possible, carries out the parties' original intent.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by notice in accordance with this section. Notices shall be effective upon receipt.
