RESTAURANT BUSINESS AGREEMENT

WHEREAS

WHEREAS, Restaurant Operator operates a full-service dining establishment and desires to retain Service Provider to perform services that improve operations, staff training, menu development, food safety compliance, and related consultancy;

WHEREAS, Service Provider represents that it possesses the skill, experience and personnel necessary to provide such services and agrees to furnish those services under the terms and conditions set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

SCOPE OF WORK

Service Provider shall perform the services described below for the Restaurant Operator. The scope may include operational assessments, staff training, menu analysis, supplier recommendations, food safety audit preparation, and on-site implementation support. Specific deliverables, milestones, and performance standards will be as described in the Scope of Work field.

PAYMENT TERMS

In consideration of the services performed by Service Provider, Restaurant Operator agrees to pay Service Provider in accordance with the terms below. All payments are due in United States Dollars and exclusive of any taxes that may be imposed on the transaction, unless otherwise required by law.

Any amount not paid when due shall accrue interest at the rate of % per month (or the highest rate permitted by applicable law, if lower). In addition, Restaurant Operator shall reimburse Service Provider for reasonable costs and expenses of collection, including attorneys' fees.

TERM AND TERMINATION

The term of this Agreement shall commence on the Start Date and continue until the End Date, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate for material breach if such breach is not cured within days after written notice of the breach.

Upon termination, Service Provider shall deliver to Restaurant Operator all completed work, work-in-progress, and any materials paid for by Restaurant Operator. Restaurant Operator shall pay Service Provider for all undisputed amounts due for work performed through the effective date of termination within the period specified for invoice payment above.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure, including but not limited to recipes, menu formulations, supplier lists, pricing, financial data, operational processes, and customer information.

Receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure to employees and agents with a need to know, and (c) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Confidential Information shall not include information that (i) is or becomes public through no breach of this Agreement; (ii) was known to receiving party prior to disclosure without obligation of confidentiality; or (iii) is independently developed by receiving party without use of Confidential Information.

The obligations in this section shall continue for a period of years following termination or expiration of this Agreement, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

INDEMNIFICATION

Each party (Indemnifying Party) shall indemnify, defend and hold harmless the other party (Indemnified Party) from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Indemnifying Party's breach of this Agreement, negligent acts, willful misconduct, or violation of law in connection with the performance of its obligations under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Exclusive venue for any dispute arising under this Agreement shall be the state or federal courts located in the county in which Restaurant Operator's principal place of business is located, and each party hereby consents to personal jurisdiction in such courts.

ENTIRE AGREEMENT

This Agreement, including all schedules and exhibits attached hereto and any written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. No modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by an authorized representative of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by personal delivery, certified mail (return receipt requested), or reputable overnight courier, and shall be effective upon receipt.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. No waiver of any breach shall constitute a waiver of any other breach. The parties are independent contractors and nothing contained in this Agreement shall be construed to create a partnership, joint venture, or employment relationship.
