RESTAURANT SERVICE AGREEMENT

Term and Termination

Term: This Agreement commences on and continues until unless earlier terminated as set forth herein.

Either party may terminate this Agreement for material breach by the other party upon written notice specifying the breach and failing to cure within the notice period specified above. Termination for convenience shall be subject to payment for all services rendered through the effective termination date and any non-cancelable costs reasonably incurred.

Confidentiality

The parties acknowledge that in performance of this Agreement each may receive Confidential Information of the other. "Confidential Information" means non-public business, technical and operational information disclosed in writing or orally that is identified as confidential. Each party agrees to: (i) hold Confidential Information in strict confidence; (ii) not disclose it to third parties except as required to perform this Agreement or by applicable law; and (iii) use such information solely for the purposes of performing obligations under this Agreement. Confidential Information does not include information that is publicly available other than by breach of this Agreement or was rightfully known prior to disclosure.

Insurance and Compliance

Service Provider shall maintain, at its sole expense, insurance coverage customary for services of this nature, including commercial general liability and, if applicable, workers' compensation and automobile liability. Evidence of insurance satisfactory to Restaurant shall be provided upon request. Service Provider shall comply with all applicable health, safety, employment, and licensing laws and regulations.

Indemnification

Each party (Indemnitor) shall indemnify, defend and hold harmless the other party (Indemnitee) from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Indemnitor's negligence, willful misconduct, or breach of this Agreement; provided that the Indemnitee provides prompt written notice of any claim and reasonably cooperates in the defense.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This Agreement, including any attachments and schedules executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, communications and understandings, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a sale of substantially all assets.
