RESTAURANT FRANCHISE AGREEMENT

This Restaurant Franchise Agreement (the Agreement) is entered into as of by and between Franchisor Name: , a franchisor that develops and licenses the restaurant system and trade dress, and Franchisee Name: , who will operate the franchised restaurant under the terms below.

WHEREAS

WHEREAS, Franchisor is the owner of certain proprietary methods, marks, trade dress, recipes, menus, operational procedures and quality standards used in the operation of a branded restaurant system (the System); and

WHEREAS, Franchisee desires to obtain the right to operate a restaurant using the System and Marks at the location described below and Franchisor desires to grant such rights on the terms set forth in this Agreement.

WHEREAS, the parties intend that this Agreement govern the franchise relationship, including franchise fees, royalties, training, quality control, territorial rights, and termination procedures.

1. LOCATION AND TERRITORY

Franchisor grants Franchisee the limited right to operate a single restaurant using Franchisor's system, trade dress, trademarks and confidential operation methods. Franchisee shall construct, equip, staff and operate the restaurant in accordance with Franchisor's standards and specifications, and shall render services and sell products consistent with the System.

3. FRANCHISE FEE, PAYMENTS AND ROYALTIES

As consideration for the rights granted herein, Franchisee shall pay Franchisor the fees and follow the payment obligations set forth below.

4. TERM AND TERMINATION

This Agreement commences on the Effective Date and continues for an initial term as specified below, unless earlier terminated in accordance with this Agreement.

Franchisee may request renewal subject to Franchisor approval and satisfaction of all renewal conditions. Renewal will be granted only upon written agreement and payment of any renewal fee.

5. CONFIDENTIALITY

Franchisee acknowledges that Franchisor's Confidential Information includes, without limitation, product formulas, recipes, supplier lists, training materials, operating manuals, marketing plans and customer data. Franchisee shall maintain the confidentiality of such information and shall not disclose or use Confidential Information except as expressly permitted by this Agreement. These confidentiality obligations survive termination for a period of years.

6. INTELLECTUAL PROPERTY AND LICENSE

Franchisor grants Franchisee a limited, non-exclusive, non-transferable license to use the trade names, trademarks and service marks identified in this Agreement solely in connection with operation of the franchised business and subject to Franchisor's quality control and standards. Franchisee acknowledges that all marks remain the sole property of Franchisor and Franchisee shall not contest or dilute Franchisor's rights.

7. QUALITY STANDARDS AND INSPECTION

Franchisee shall adhere to Franchisor's operational standards, recipes, service protocols and specifications. Franchisor or its designated representatives shall have the right to inspect the premises, operations, records and financial reports upon reasonable notice to verify compliance. Repeated failure to meet standards constitutes a material breach.

8. AUDIT AND RECORDS

Franchisee shall keep complete and accurate books and records, separate from personal affairs, reflecting all transactions related to the franchised business. Franchisor shall have the right to audit such records during normal business hours with reasonable notice. Franchisee shall retain records for at least years.

9. INSURANCE, INDEMNITY AND LIABILITY

Franchisee shall maintain commercial general liability, product liability and property insurance with minimum limits of per occurrence and shall name Franchisor as an additional insured where required. Franchisee shall indemnify and hold harmless Franchisor from claims arising from Franchisee's operation, negligent acts, omissions, or breaches of this Agreement.

10. TRANSFER AND ASSIGNMENT

Franchisee shall not transfer, assign or encumber its rights under this Agreement without Franchisor's prior written consent, which shall not be unreasonably withheld for qualified transferees who execute an assignment agreement and meet Franchisor's financial and operational standards. Any prohibited transfer shall be void.

11. DEFAULT AND REMEDIES

A party shall be in default if it materially breaches any provision and fails to cure within the notice period specified in this Agreement. In the event of default, the non-defaulting party shall be entitled to injunctive relief, specific performance and damages, and may terminate this Agreement in accordance with its terms. Remedies are cumulative.

12. CONFESSIONS, RESTRICTIVE COVENANTS AND POST-TERMINATION

Franchisee agrees that upon termination or expiration it shall cease all use of the Marks, return manuals and confidential materials, and comply with post-termination noncompetition and non-solicitation restrictions as set forth in the attached addendum or as described below.

13. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties agree that disputes arising under this Agreement will be resolved by binding arbitration under commercially reasonable rules, unless otherwise required by applicable law, and venue shall be as agreed in writing.

14. ENTIRE AGREEMENT

This Agreement, including all schedules, addenda and exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, representations and understandings. Any amendment or modification to this Agreement must be in writing and signed by both parties.

15. MISCELLANEOUS

Notices shall be given in writing to the parties at their addresses set forth below. Waiver of any right shall not be effective unless in writing. If any provision is held invalid, the remaining provisions shall remain in force.
