RECITALS

WHEREAS, Client operates a restaurant and desires a professionally formatted menu template for use in printed and digital formats; and

WHEREAS, Provider represents that it has the skills, experience, and resources to prepare, design, and deliver a customizable Restaurant Menu Template (the "Template") in accordance with the terms of this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

SCOPE OF WORK

Provider shall perform the services described above and deliver initial artwork and a first review draft within days from the Effective Date. Client is entitled to rounds of reasonable revisions; additional revisions will be billed in accordance with the Payment Terms below.

PAYMENT TERMS

Payment Schedule: Client shall pay the Deposit upon execution of this Agreement. The remaining Balance is due upon final delivery of the Template and prior to transfer of final source files unless otherwise agreed in writing. Any agreed milestones and dates:

Late Fee: Payments not received within days after invoice are subject to a late fee of % per month on the outstanding balance or the maximum rate permitted by law, whichever is lower.

Either party may terminate this Agreement for convenience upon days' prior written notice. Upon termination for any reason, Client shall pay Provider for all work performed to the date of termination and for any non-cancellable commitments incurred by Provider.

INTELLECTUAL PROPERTY & DELIVERABLES

Upon receipt of full payment, Provider grants Client a perpetual, non-exclusive, worldwide license to use the final Template in Client's business operations and marketing. Provider retains ownership of underlying design concepts, templates, and proprietary assets unless otherwise assigned in writing. Any transfer of ownership must be expressly stated and compensated.

CONFIDENTIALITY

Each party shall maintain in confidence all business information and materials designated as confidential or which, by their nature, would be reasonably understood to be confidential ("Confidential Information"). Confidential Information shall not include information that is publicly known through no fault of the receiving party or rightfully received from a third party without restriction. The receiving party shall use Confidential Information solely for the performance of this Agreement and shall return or destroy such materials upon written request.

WARRANTIES; LIMITATION OF LIABILITY

Provider warrants that the services will be performed in a professional manner consistent with industry standards. Except as expressly set forth herein, Provider disclaims all other warranties, express or implied. In no event shall either party be liable for incidental, consequential, or punitive damages arising out of this Agreement. Provider's aggregate liability shall not exceed the total fees paid by Client under this Agreement.

GOVERNING LAW

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may specify in writing. Notice is effective upon personal delivery, confirmed electronic transmission, or three (3) days after deposit with the U.S. mail, postage prepaid.

MISCELLANEOUS

Assignment: Neither party may assign its rights under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.

Severability: If any provision of this Agreement is found invalid or unenforceable, the remainder shall continue in full force and effect.
