RESTAURANT PANDA EXPRESS AGREEMENT

This General Business Agreement (Agreement) is made and entered into as of by and between:

RECITALS

WHEREAS, the Restaurant operates a dining and/or quick-service food business under the trade name Panda Express and requires certain services to support its operations; and

WHEREAS, the Service Provider represents that it has the skill, personnel, equipment, and experience necessary to perform the services described in this Agreement and is willing to provide such services to the Restaurant on the terms set forth herein; and

WHEREAS, the parties desire to reduce their agreement to writing and to set forth their respective rights and obligations with respect to the services to be performed.

SCOPE OF WORK

The Service Provider shall perform the services described below in a professional and workmanlike manner in accordance with the specifications mutually agreed by the parties.

PAYMENT TERMS

In consideration for the performance of the Scope of Work, the Restaurant shall pay the Service Provider in accordance with the following terms.

All amounts are payable in United States dollars. Unless otherwise agreed in writing, payments are due within thirty (30) days of receipt of a correct invoice. The Restaurant may withhold payment for work not performed in accordance with the Scope of Work until such deficiencies are remedied.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in effect until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon providing the other party written notice in accordance with the notice period specified above. Either party may terminate this Agreement immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within fifteen (15) days after receiving written notice of the breach; provided that a material breach that cannot reasonably be cured within fifteen (15) days shall not be a basis for termination if the breaching party has commenced curing within such period and continues diligently to cure.

CONFIDENTIALITY

Each party (Receiving Party) agrees that it will keep confidential and will not disclose or use, except in performance of its obligations under this Agreement, any Confidential Information of the other party (Disclosing Party). "Confidential Information" means non-public information, whether written, electronic or oral, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including but not limited to recipes, pricing, customer lists, operational procedures, and proprietary systems.

The obligations of confidentiality shall not apply to information that (a) is or becomes publicly available through no breach of this Agreement by the Receiving Party, (b) was rightfully known to the Receiving Party prior to disclosure without restriction, (c) is received from a third party without obligation of confidentiality, or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information. The Receiving Party may disclose Confidential Information to the extent compelled by law, provided it gives the Disclosing Party reasonable prior notice and cooperates in any lawful effort to limit disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Venue for any dispute arising under this Agreement shall lie exclusively in the state or federal courts located in such state.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

The parties are independent contractors, and nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship. Each party shall comply with all applicable laws, rules and regulations in connection with its performance under this Agreement.
