RESTAURANT PIZZERIA BUSINESS AGREEMENT

This Agreement is made effective as of by and between:

Parties

WHEREAS

WHEREAS, Owner owns and operates a restaurant doing business as a pizzeria at the premises identified above and desires to retain Operator to provide management, operational services, and related consulting for the pizzeria; and

WHEREAS, Operator represents that Operator has the necessary experience, personnel, and expertise to manage restaurant operations, including menu development, staff supervision, food preparation oversight, procurement, and compliance with food safety standards; and

WHEREAS, the Parties wish to set forth their respective duties, compensation, confidentiality obligations, and other terms under this Agreement.

Scope of Work

Operator shall provide the following services in connection with the pizzeria (collectively, the "Services"). Operator's responsibilities shall include but are not limited to the tasks described below. Time, staffing, and specific deliverables shall be agreed and adjusted in writing by the Parties.

Payment Terms

Compensation for the Services shall be as follows:

Operator shall submit invoices in accordance with the Payment Schedule. Owner shall pay undisputed invoices within days of receipt. Any disputed portion shall be notified in writing within that period and the undisputed portion shall be paid as required.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated as provided below.

Either Party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective date of termination. Either Party may terminate immediately for material breach by the other Party that remains uncured for a period of 15 days after written notice of such breach.

Confidentiality

For the purposes of this Agreement, "Confidential Information" includes recipes, menu formulations, supplier pricing, customer lists, financial data, standard operating procedures, and other non-public information disclosed by either Party. Each Party agrees to: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely for performance under this Agreement; and (c) limit disclosure to employees or contractors with a need to know and who are bound to confidentiality obligations no less protective than those herein. Confidential Information shall not include information that is or becomes generally available to the public through no fault of the receiving Party or that is required to be disclosed by applicable law, provided the disclosing Party receives prompt notice and an opportunity to seek protective relief.

The Parties acknowledge and agree to the confidentiality terms set forth above.

Intellectual Property; Recipes and Menu

All existing recipes, trademarks, trade dress, and menu items owned by Owner remain Owner's sole property. Any new recipes, menus, or substantial modifications created by Operator specifically for Owner and paid for by Owner shall be the property of Owner unless otherwise agreed in writing. Operator grants Owner a perpetual, royalty-free license to use any operational documents, training materials, and menu specifications prepared by Operator in the performance of Services.

Insurance and Indemnification

Operator shall maintain general liability and, where applicable, workers' compensation insurance in amounts customary for comparable restaurant operations and shall provide evidence of insurance upon request. Operator shall indemnify and hold Owner harmless from and against any third-party claims, liabilities, losses, or expenses arising from Operator's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by Owner's negligence.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement

This Agreement, together with any written exhibits or amendments signed by both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. No modification of this Agreement shall be effective unless in writing and signed by both Parties.
