RECITALS

SCOPE OF SERVICES

The Restaurant will provide dining space, food and beverage service, and other agreed services for the reservation described above. The specific services, set‑up requirements, menu selections, staffing levels, AV/equipment needs, and any contracted third‑party services must be described below.

PAYMENT TERMS

A deposit is required to secure the reservation. Deposit payments are credited toward the total invoice. Deposits are non-refundable except as expressly provided below. The Guest is responsible for all charges for services rendered, taxes and any applicable service charges.

If payment is not received by the stated due date, the Restaurant may apply the late fee specified above and may suspend services or cancel the reservation after providing notice in accordance with the Term and Termination provisions below.

TERM AND TERMINATION

The effective start of the reservation services begins at the scheduled reservation time and ends at the scheduled end time or upon completion of provided services, whichever is later. Either party may terminate this Reservation Agreement for material breach if the breaching party fails to cure within the notice period provided below.

CONFIDENTIALITY

For private events and certain corporate bookings, the parties agree that guest lists, menu selections provided prior to the event, pricing, and other proprietary information are confidential. The receiving party shall not disclose confidential information to third parties except as required by law or with prior written consent.

GOVERNING LAW

This Reservation Form and any dispute arising out of it shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law rules.

ENTIRE AGREEMENT
