What a Restoration Services Agreement Covers

A Restoration Services Agreement is a written contract between a property owner and a restoration contractor that defines scope, timing, payment, insurance coordination, liability allocation, and warranty terms for repair work after water, fire, mold, or other property damage. The agreement formalizes responsibilities for permits, temporary repairs, materials, subcontracting, change orders, and invoicing. It also clarifies whether the contractor will work directly with the property owner or with the owner’s insurer, and if insurance assignment, subrogation, or payment release conditions apply. Clear agreements reduce disputes and speed project closeout.

Why a Written Restoration Services Agreement Matters

A clear, signed agreement protects both parties by documenting scope, cost, schedule, and insurance procedures. It sets expectations for change orders, lien waivers, and dispute resolution while creating an auditable record for claims and regulatory reviews.

Why a Written Restoration Services Agreement Matters

Who Typically Prepares and Signs This Agreement

Each signer’s role should be named and authorized in the signature block to avoid later disputes.

  • Restoration contractors and company project managers who need a legally enforceable scope and payment terms.
  • Property owners or building managers seeking clarity on timelines, warranties, and insurance coordination.
  • Insurance adjusters and third-party administrators when work is covered by an insurance policy.

Representative Signer Roles

Restoration Contractor — Owner

A licensed contractor or company owner signs to accept scope, pricing, and warranty obligations and to authorize subcontractor use. The signer should be authorized to bind the contracting entity and confirm insurance and license numbers where required.

Property Owner — Claimant

A homeowner, property manager, or insured representative signs to confirm work authorization, permit access, and payment method (direct or insurance assignment) and to acknowledge change order procedures and dispute resolution terms.

Essential Clauses to Include in the Agreement

A professional Restoration Services Agreement groups obligations into clear sections so scope, payment, and liability are unambiguous.

Scope of Work

Describe tasks, materials, and exclusion items in measurable terms; attach job-specific exhibits, sketches, or line-item estimates to avoid disputes about what is included.

Payment Terms

Specify contract price, deposit, progress payment schedule, retainage, insurance assignment, and conditions for final payment and release of lien waivers.

Change Orders

Detail the process for approving extra work, pricing methodology, and time impact; require written sign-off from the owner or insurer before work proceeds.

Insurance Coordination

State whether the contractor will bill the insurer directly, accept assignment of benefits, or require the owner to remit insurance proceeds to the contractor.

Permits and Compliance

Allocate responsibility for pulling permits, scheduling inspections, and meeting local building codes; identify contractor license and permit numbers when required.

Warranties and Remedies

Set warranty period, scope of covered defects, repair obligations, and the dispute resolution method including arbitration, mediation, or small claims venue.

Common Timelines and Deadlines to Track

Document the schedule milestones that affect payment, permits, and insurance claims to avoid penalties or coverage disputes.

Initial Mobilization:

Begin within days of signed authorization

Permit Issuance:

Timelines vary by jurisdiction; track milestone

Progress Payments:

Per schedule or NTE (not-to-exceed) dates

Completion Inspection:

Inspection and punch list within set days

Final Release:

Final payment after warranty documents and lien waivers

Common Preparation Mistakes to Avoid

  • Incomplete scope descriptions that leave key tasks or exclusions unspecified, leading to change order disputes and delayed payment.
  • Failing to confirm contractor license and insurance limits before work begins, which can void insurance coverage and expose owners to liability.
  • Using ambiguous payment terms without schedules or triggers for draws, causing disagreements over when invoices become payable.
  • Neglecting lien waiver sequencing—accepting final waiver before final payment can create risk if funds clear slowly or insurer delays payment.

Key Legal Risks and Potential Consequences

Insurance Denial: Improper documentation may cause claim denial
Mechanic’s Lien: Late payments can trigger contractor liens
Licensing Fines: Unlicensed work risks civil penalties
Permit Violations: Work without permits may be halted
Warranty Disputes: Vague warranty language invites litigation
Contract Breach: Missed deadlines can trigger damages
