RESTRICTED STOCK GRANT AGREEMENT

This Restricted Stock Grant Agreement (the "Agreement") is entered into as of Grant Date: between the following parties.

WHEREAS, the Company desires to grant to the Grantee, and the Grantee desires to accept, a restricted grant of shares of the Company's capital stock on the terms and conditions set forth below.

Restrictions on Transfer

The Shares are subject to restrictions under this Agreement and under any applicable Company equity plan. The Grantee shall not sell, assign, pledge, hypothecate, or otherwise transfer any unvested Shares. Any attempted transfer in violation of this Agreement shall be null and void.

Rights as Shareholder

Except as otherwise provided in this Agreement, the Grantee shall have the rights of a shareholder with respect to vested Shares, including voting rights and the right to receive dividends, if any. The Grantee shall not have rights with respect to unvested Shares other than those specified in this Agreement.

Section 83(b) Election

The Grantee acknowledges that the tax consequences of this grant may include the ability to make an election under Section 83(b) of the Internal Revenue Code. If the Grantee elects to make an 83(b) election, the Grantee shall be responsible for timely filing such election with the appropriate tax authority and delivering a copy to the Company within days of the date of grant.

Tax Withholding

The Grantee agrees that the Company may withhold from the Grantee's wages or require the Grantee to remit to the Company an amount sufficient to satisfy any required withholding taxes attributable to the grant, vesting, or transfer of the Shares.

All stock certificates or book‑entry records evidencing the Shares shall bear a legend substantially as follows or as otherwise required by the Company: "THE SHARES EVIDENCED BY THIS CERTIFICATE ARE SUBJECT TO RESTRICTIONS ON TRANSFER AND FORFEITURE AND ARE SUBJECT TO REPURCHASE OR OTHER RIGHTS OF THE COMPANY PURSUANT TO A RESTRICTED STOCK GRANT AGREEMENT BETWEEN THE GRANTEE AND THE COMPANY."

Adjustments; Corporate Events

In the event of any change in the Company's capital structure, merger, consolidation, reorganization, stock split, stock dividend, combination of shares, or other similar event, the number and class of Shares subject to this Agreement shall be adjusted as determined by the Board to preserve the Grantee's economic interest.

Termination; Remedies

Termination of the Grantee's service for any reason shall affect vesting as set forth above. The remedies available to the Company for breach of this Agreement include injunctive relief, return of improperly transferred Shares, and such other remedies as permitted by law.

Notices under this Agreement shall be given to the addresses set forth above or to such other addresses as a party may designate in writing.

Governing Law; Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the State of .
