What the Restroom Cleaning Service Agreement Is and When It’s Used

A Restroom Cleaning Service Agreement is a written contract between a property owner or manager and a cleaning contractor that defines scope, frequency, standards, and compensation for restroom and related janitorial services. Typical provisions cover tasks (toilet, sink, floor cleaning), supplies, staffing, access, inspection and corrective actions, insurance requirements, and payment terms. The agreement can be executed on paper or electronically; electronic signatures meeting 15 U.S.C. §7001 (ESIGN) and UETA requirements create legally binding records when parties demonstrate intent, consent, attribution, and retention.

Why a Written Agreement Benefits Owners and Contractors

A clear contract reduces disputes by setting measurable cleaning standards, schedule expectations, pricing, and remedies. It allocates liability and insurance obligations, documents compliance with health codes, and supports audit trails when using electronic signatures that meet ESIGN/UETA criteria.

Why a Written Agreement Benefits Owners and Contractors

Who Commonly Prepares and Signs This Agreement

Typical users include facility managers, property owners, cleaning contractors, and procurement officers who need predictable service levels and accountability.

  • Facility managers responsible for building maintenance and janitorial procurement.
  • Independent cleaning contractors and franchise operators providing on-site services.
  • Property owners or commercial tenants who oversee vendor performance.

Signed agreements help contractors secure payment terms while giving owners documented remedies and inspection rights.

Essential Clauses to Include in the Agreement

A well-drafted Restroom Cleaning Service Agreement includes specific service descriptions, performance standards, scheduling, supplies and disposal rules, payment and invoicing, insurance and indemnity clauses, and termination rights. Each clause should be measurable and mapped to inspection or acceptance criteria to reduce ambiguity and support enforcement.

Scope of Work

List exact tasks (e.g., sanitize toilets, refill dispensers, mop floors), frequency, and any exclusions to avoid scope disputes and unexpected charges.

Performance Standards

Define measurable standards (e.g., no visible debris, sanitizer concentration) and inspection frequency so quality can be objectively assessed.

Schedule and Access

Specify service days/times, access instructions, keys or badge procedures, and emergency response windows for unscheduled incidents.

Supplies and Waste

State whether contractor supplies consumables and how waste and sharps will be handled to meet local disposal rules.

Insurance & Indemnity

Require general liability and workers’ compensation limits and name the owner as additional insured where appropriate to shift risk.

Payment Terms

Document rates, billing cadence, late fees, invoicing requirements, and approved dispute resolution steps for unpaid invoices.

Step-by-Step: Completing the Agreement

  • 04
Execute Agreement: Sign physically or electronically and retain a copy with audit trail.

Typical Workflow for Approvals and Execution

This sequence describes how the document moves from draft to signed and filed, including electronic signing steps.

  • Prepare Document: Owner or contractor uploads and places required fields.
  • Assign Signers: Add signers in signing order and include contact emails.
  • Sign and Authenticate: Signers authenticate and apply signatures, with audit trail captured.
  • Distribute Copies: All parties receive final signed PDF and retention metadata.

Recommended Digital Workflow Settings for eSigning
