Recitals

WHEREAS, Client seeks professional resume preparation, editing, and related career-document services to support Client's employment and career-seeking activities; and

WHEREAS, Service Provider represents that it possesses the necessary expertise and experience to prepare and deliver professional resume and ancillary materials in accordance with the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows.

Scope of Work

Service Provider shall provide professional resume services as described in this section. Deliverables include resume drafting, formatting, and up to the number of revisions set forth below. The services shall be performed in a professional manner consistent with industry standards.

Payment Terms

Client shall pay Service Provider the fees described below in consideration for the services and deliverables. All amounts are payable in United States dollars unless otherwise agreed in writing.

Late payments will incur a charge of % per month on outstanding balances or a flat fee of $ , whichever is greater.

Term and Termination

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this Agreement, continues until completion of the services or the End Date set forth below.

Either party may terminate this Agreement for material breach by the other party that remains uncured for a period of thirty (30) days following written notice specifying the breach. Termination shall not relieve Client of the obligation to pay for services performed through the effective date of termination.

Confidentiality

Each party acknowledges that during performance of this Agreement it may receive Confidential Information from the other party. "Confidential Information" means non-public information that is designated as confidential or that reasonably should be understood to be confidential. Each party agrees to (a) hold Confidential Information in strict confidence, (b) use it only as necessary to perform obligations under this Agreement, and (c) not disclose it to any third party except to personnel or contractors who have a need to know and are bound by confidentiality obligations no less restrictive than those contained herein. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, is already known to the receiving party without restriction, or is required to be disclosed by law.

Intellectual Property; Use of Work Product

Upon full payment of the fees due hereunder, Service Provider assigns to Client all transferable rights, title and interest in the final resume and related deliverables created specifically for Client hereunder. Service Provider retains the right to use anonymized or redacted samples for marketing and portfolio purposes, provided such use does not disclose Client's Confidential Information.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.

Entire Agreement; Amendments

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both parties.

Representations and Warranties; Limitations

Each party represents that it has the authority to enter into this Agreement. Service Provider warrants that deliverables will be original and will not knowingly infringe the rights of third parties. EXCEPT AS EXPRESSLY SET FORTH HEREIN, SERVICE PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL SERVICE PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or successor in interest. If any provision of this Agreement is held invalid, the remainder shall remain in full force and effect.
