WHEREAS

WHEREAS, Supplier manufactures, supplies or licenses the retail products and related merchandising services described in the Retail Agreement (the "Products"); and

WHEREAS, Retailer operates retail outlets and desires to purchase, display and sell the Products in accordance with the terms and conditions set forth in the Retail Agreement; and

WHEREAS, the parties wish to confirm certain specific obligations, payment terms, and the operative signature authorities by executing this Signature Page to be incorporated into the Retail Agreement.

CONFIDENTIALITY

Each party shall maintain the confidentiality of the other party's Confidential Information and shall not disclose such information except as permitted below. Confidential Information includes proprietary pricing, stock keeping units, marketing plans, trade secrets, and supplier cost data.

Exceptions: Confidential Information does not include information that (i) is or becomes publicly available through no breach by the receiving party, (ii) is rightfully received from a third party without restriction, or (iii) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

GOVERNING LAW

This Signature Page and the Retail Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflicts of law principles.

ENTIRE AGREEMENT

This Signature Page, together with the Retail Agreement and any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, agreements, representations and understandings, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.
