RETAIL PARTNER AGREEMENT

Parties

This Retail Partner Agreement ("Agreement") is made as of by and between the following parties.

Recitals

WHEREAS, Company develops, supplies, and owns the rights to the products and trademarks identified in Exhibit A and desires to engage Retail Partner to promote, display and resell such products at the locations and channels identified in this Agreement; and

WHEREAS, Retail Partner has represented that it has the capability, facilities and channels necessary to market, display and sell the Company's products to end customers, and is willing to perform those services subject to the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Retail Partner shall perform the marketing, display, sale and after-sale activities described below in accordance with the standards and schedules set by Company. Retail Partner shall devote commercially reasonable efforts, maintain adequate inventory levels where applicable, comply with Company's brand guidelines and cooperate with Company on promotions and product launches.

Payment Terms

In consideration for Retail Partner's services, Company shall pay Retail Partner as set forth below. All payments are subject to the conditions of this Agreement and applicable withholding and deductions required by law.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any obligation hereunder and fails to cure such breach within days after receipt of written notice. Company may terminate immediately for cause upon insolvency, bankruptcy filing, or unlawful conduct by Retail Partner.



Confidentiality

Each party acknowledges that during performance it will receive Confidential Information of the other. "Confidential Information" means non-public business, technical, marketing, financial and product information disclosed in any form. Each party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to third parties except to employees, contractors or advisors with a need to know who are bound by confidentiality obligations; and (c) use Confidential Information only to perform obligations under this Agreement. Confidential Information does not include information that is or becomes generally known to the public other than by breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed without use of the disclosing party's Confidential Information.

Upon termination or upon written request, the receiving party shall promptly return or irretrievably destroy all Confidential Information and certify such return or destruction. The obligations of confidentiality shall survive termination for a period of years, except for trade secrets, which will be protected for so long as they remain trade secrets under applicable law.

Intellectual Property

Company retains all right, title and interest in its trademarks, trade dress, patents, copyrights and other intellectual property. Retail Partner is granted a limited, non-exclusive, non-transferable license to use Company's trademarks solely to market and sell the Company's products in accordance with Company's brand guidelines. Retail Partner shall not take any action that jeopardizes the Company's intellectual property rights.

Indemnification and Liability

Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any third party claims arising out of its negligent acts, willful misconduct, or breach of this Agreement. Except for liability arising from gross negligence, willful misconduct, or a breach of confidentiality or intellectual property obligations, neither party's aggregate liability for any claims under this Agreement shall exceed the total fees paid or payable to Retail Partner under this Agreement during the preceding twelve (12) months.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a party may designate in writing):

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties shall attempt in good faith to resolve disputes through negotiation. If unresolved within thirty (30) days, disputes shall be resolved by binding arbitration in accordance with the rules agreed by the parties and conducted in the county of the Company's principal place of business, unless otherwise agreed in writing.

Entire Agreement; Amendments

This Agreement, together with any attached exhibits and schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment, modification or waiver of any provision hereof shall be effective unless in writing and signed by both parties.

Severability; Survival

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The provisions that by their nature should survive termination or expiration of this Agreement shall so survive, including but not limited to confidentiality, indemnification, intellectual property and dispute resolution provisions.
