WHEREAS, Seller provides retail goods and related services in the ordinary course of its business, and Buyer desires to purchase certain goods described in this Quote from Seller on the terms set forth herein;

WHEREAS, Seller has prepared this Quote detailing the items, quantities, pricing, and terms under which Seller will supply the goods to Buyer if Buyer accepts this Quote by executing below within the Valid Until period;

NOW, THEREFORE, the parties agree that the provision of goods and services described in this Quote shall be governed by the terms and conditions set forth in this document upon Buyer’s acceptance.

The Seller will supply the goods and any related services described below in accordance with the specifications and quantities set forth. Seller will perform any installation, testing, or training only if specified in this Scope of Work.

Payment Terms

Buyer shall pay the Total pursuant to the schedule below. Unless otherwise agreed in writing, Buyer will make payment in United States dollars by wire transfer, check, or other mutually agreed method. Partial deliveries will be invoiced and payable in accordance with the schedule.

Term and Termination

This Quote and any resulting agreement shall commence on the Start Date and continue until the End Date or until the parties complete performance, unless earlier terminated in accordance with this section.

Either party may terminate upon material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Termination does not relieve Buyer of payment obligations for goods delivered or services performed prior to termination.

Confidentiality

Each party will keep confidential all nonpublic information disclosed by the other party that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction. The obligations in this clause survive termination of this Quote for a period of three (3) years.

Warranties and Disclaimers

Seller warrants that the goods supplied under this Quote will conform to the specifications set forth herein and will be free from material defects in materials and workmanship at the time of delivery. Except as expressly provided in this Quote, Seller disclaims all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

This Quote and any agreement resulting from Buyer’s acceptance shall be governed by and construed in accordance with the laws of:

This Quote, together with any documents expressly incorporated herein by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment will be effective unless in writing and signed by both parties.
