RETAIL SHOP CARD — BUSINESS AGREEMENT

This Retail Shop Card Agreement ("Agreement") is entered into as of Effective Date: by and between:

Recitals

WHEREAS, Retail Operator operates or manages retail space and related services for the display and sale of goods; and

WHEREAS, Owner desires to occupy and operate a retail shop within the Operator's premises or platform, and Operator agrees to permit such operation on the terms and conditions set forth herein; and

WHEREAS, the parties wish to record key business, operational and payment terms on this Retail Shop Card and to formalize their mutual obligations in this Agreement.

Scope of Work

The Owner shall operate the retail shop in accordance with the descriptions, hours, merchandising and staffing commitments set forth below and in the Scope of Work. Operator will provide the physical space, basic utilities and access to agreed services as described in the Scope of Work. Specific duties, deliverables and operational standards are described by the Owner in the field below.

Payment Terms

The Owner shall pay Operator the fees described below in consideration for the retail space and services. All fees are exclusive of applicable taxes unless otherwise stated.

Payments are due to Operator at the address or account specified on Operator's invoice. Owner shall promptly notify Operator of any disputed charge; undisputed portions remain payable when due. Operator may suspend services or access for failure to pay undisputed sums after notice of nonpayment and a ten (10) day cure period.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement without cause upon Notice Period (days): days' written notice to the other party. Termination for cause may be immediate where the non‑breaching party provides written notice specifying material breach and the breaching party fails to cure within thirty (30) days of receipt.

Confidentiality

Each party acknowledges that during the term it may receive confidential or proprietary information of the other party. "Confidential Information" includes business plans, pricing, customer lists, sales data, and operational processes. Each receiving party shall (a) hold Confidential Information in strict confidence, (b) use it solely for the performance of this Agreement, and (c) not disclose it except to its employees, agents or professional advisors who have a need to know and who are bound by confidentiality obligations no less protective than those contained herein. Confidential Information shall not include information that becomes publicly available through no fault of the receiving party or that is independently developed without use of the disclosing party's Confidential Information. The confidentiality obligations survive termination for a period of three (3) years.

Insurance, Compliance and Records

Owner shall maintain commercial general liability insurance and such additional coverages as required by Operator. Proof of Insurance Provided: . Owner shall comply with all applicable laws, ordinances and regulations, and obtain and maintain all required permits and licenses. Operator reserves the right to audit sales records relevant to commission and charge reconciliation on reasonable notice.

Indemnification

Owner shall indemnify, defend and hold harmless Operator, its affiliates, officers and employees from and against any claims, losses, liabilities or expenses (including reasonable attorneys' fees) arising from Owner's breach of this Agreement, the sale or display of Owner's goods, or Owner's failure to comply with applicable laws, except to the extent caused by Operator's gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Venue for any dispute arising under this Agreement shall be in the state or federal courts located within that state.

Entire Agreement; Amendments

This Agreement, together with any exhibits, schedules and the information recorded on this Retail Shop Card, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior understandings and agreements. No amendment or modification shall be effective unless set forth in a writing signed by both parties.
