RETAIL SHOPPING AGREEMENT

This Retail Shopping Agreement ("Agreement") is entered into as of Day: Month: Year: , by and between Retailer Name: with principal place of business at ("Retailer"), and Shopping Center Owner Name: with principal address at ("Owner").

RECITALS

WHEREAS, Owner owns and operates a shopping center or retail premises commonly referred to as the Shopping Center located at (the "Premises"); and

WHEREAS, Retailer desires to occupy a portion of the Premises to operate a retail business for the sale of goods and related services under the terms and conditions set forth herein; and

WHEREAS, Owner is willing to permit Retailer to occupy the designated space subject to payment of rent, compliance with the shopping center rules, and the covenants contained in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants set forth below and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. DEFINITIONS

1.1 "Premises" means the portion of the shopping center identified above and specifically described as .

1.2 "Common Areas" means parking, walkways, landscaping, and other areas designated by Owner for the common use of all tenants and patrons.

2. PREMISES, TERM, AND USE

2.1 Lease Term. The term shall commence on Commencement Date: Day: Month: Year: and shall continue for a period of months unless earlier terminated in accordance with this Agreement.

2.2 Permitted Use. Retailer shall use the Premises solely for the purpose of and for no other purpose without Owner's prior written consent, which shall not be unreasonably withheld.

3. RENT, FEES AND DEPOSITS

3.1 Base Rent. Retailer shall pay to Owner base rent in the amount of $ per month, payable in advance on the first day of each calendar month at Owner's address for notices or at such other place as Owner designates in writing.

3.2 Percentage Rent. If applicable, Retailer shall pay percentage rent equal to % of gross sales in excess of $ measured monthly and payable with the monthly rent statement.

3.3 Security Deposit. Upon execution, Retailer shall deliver a security deposit of $ to secure performance of Retailer's obligations. Owner may apply the deposit to cure defaults or to repair damage caused by Retailer; deposit shall be returned, less lawful deductions, within thirty (30) days after expiration of the term.

4. HOURS, ACCESS AND OPERATIONS

4.1 Operating Hours. Retailer shall observe the shopping center's required opening and closing hours for retailers, including holidays, and shall not remain closed during any period when the center is open to the public except for reasonable cause. Required hours (if any):

4.2 Access. Owner shall provide Retailer with keys or access credentials for the Premises. Owner may restrict access to Common Areas for maintenance, safety, or security in a manner that does not materially interfere with Retailer's permitted use.

5. MAINTENANCE, REPAIRS AND ALTERATIONS

5.1 Retailer Obligations. Retailer shall keep the interior of the Premises in good order and condition and shall promptly repair any damage resulting from Retailer's operations, employees, agents, or customers. Retailer shall not perform structural alterations without Owner's prior written consent.

5.2 Owner Obligations. Owner shall maintain and repair structural components, roof, exterior walls, and Common Areas, provided that Owner shall have no obligation to repair damage caused by Retailer, its agents, employees, or customers, which shall remain Retailer's responsibility.

6. INSURANCE AND INDEMNITY

6.1 Insurance. Retailer shall, at Retailer's expense, maintain commercial general liability insurance with limits not less than $ per occurrence and property insurance covering Retailer's inventory and leasehold improvements. Retailer shall furnish certificates evidencing such insurance upon request.

6.2 Indemnity. Retailer shall indemnify, defend and hold Owner harmless from and against all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Retailer's use or occupancy of the Premises, except to the extent caused by Owner's gross negligence or willful misconduct.

7. COMPLIANCE WITH LAWS; PERMITS

Retailer shall at its sole cost obtain and maintain all licenses, permits and approvals required by federal, state, and local law for Retailer's business and shall comply with all applicable statutes, codes, ordinances and regulations. Retailer shall not use the Premises in any manner that violates zoning or health regulations or creates a nuisance.

8. ADVERTISING, SIGNAGE AND MERCHANDISING

8.1 Signage. Retailer shall install signage only in locations and of designs pre-approved in writing by Owner in accordance with the shopping center signage standards. Retailer shall maintain any signage in good repair and remove it upon termination of the tenancy, unless otherwise agreed in writing.

8.2 Promotions. Retailer shall coordinate promotions and special events with Owner when such activities affect Common Areas or other tenants. Retailer shall be responsible for all costs associated with its promotions unless otherwise agreed.

9. DEFAULT; REMEDIES

9.1 Events of Default. Events of default include failure to pay rent or any other sums when due, failure to perform any material covenant within thirty (30) days after written notice (or such longer period as required to commence and diligently pursue cure), insolvency of Retailer, or abandonment of the Premises.

9.2 Remedies. Upon an event of default, Owner shall have all remedies available at law or in equity, including termination of this Agreement, recovery of unpaid rent, damages for loss of bargain, and recovery of costs of re-letting. Owner's election of one remedy shall not preclude election of another.

10. TERMINATION

10.1 Termination for Convenience. Either party may terminate this Agreement for convenience upon days' prior written notice to the other, subject to any early-termination fees set forth herein.

10.2 Effect of Termination. Upon termination, Retailer shall vacate and surrender the Premises in broom-clean condition and shall remove all personal property and trade fixtures, except those fixtures agreed to remain. Retailer shall be responsible for repair of any damage caused by removal.

11. NOTICES

All notices, demands or other communications required or permitted under this Agreement shall be in writing and shall be delivered by personal delivery, nationally recognized overnight courier, or certified mail, return receipt requested, to the addresses set forth in the opening paragraph or to such other address as either party may designate by written notice to the other. 12. ASSIGNMENT AND SUBLETTING

Retailer shall not assign this Agreement or sublet the Premises or any part thereof without Owner's prior written consent, which consent shall not be unreasonably withheld for bona fide transfers to affiliates or successors. Any attempted assignment or subletting without consent shall be void and shall constitute a material default.

13. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument executed by both parties. No waiver of any provision shall be effective unless in writing and signed by the party against whom enforcement is sought. This Agreement may be executed in counterparts, each of which shall be an original and all of which together shall constitute one instrument.

14. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

14.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law rules.

14.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, whether written or oral.

14.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect and such provision shall be modified to the minimum extent necessary to make it enforceable.

15. MISCELLANEOUS PROVISIONS

15.1 Attorneys' Fees. The prevailing party in any action arising under this Agreement shall be entitled to recover reasonable attorneys' fees and costs from the non-prevailing party.

15.2 Relationship of Parties. The parties are independent contracting parties. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship.

15.3 Force Majeure. Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, strikes, acts of government, or civil unrest, provided that the affected party promptly notifies the other and uses commercially reasonable efforts to resume performance.
