Retail Store Contract

This Retail Store Contract (the Agreement) is entered into as of Effective Date: / / by and between:

WHEREAS

WHEREAS, Merchant desires to operate a retail business at the premises described in this Agreement and to sell goods and services to the public under the terms set forth herein; and

WHEREAS, Owner owns or controls the retail premises at the address provided above and is willing to license the use of the premises to Merchant on the terms and conditions contained in this Agreement; and

WHEREAS, the parties intend that this Agreement allocate responsibilities for operation, payment, maintenance, and compliance with applicable laws governing the operation of the retail store.

Scope of Work

Merchant shall operate a retail store at the premises and shall be responsible for stocking, staffing, marketing, and daily store operations consistent with applicable municipal code and with reasonable commercial practices. Owner shall provide the premises in broom-clean condition and shall perform capital repairs as specified in this Agreement. Specific obligations, permitted uses, and restrictions are described below.

Payment Terms

Merchant shall pay Owner the Rent and other charges as set forth below. All sums are payable in lawful currency and without offset except as expressly provided in this Agreement.

All payments that are not received by Owner within five (5) days of the due date shall incur the Late Fee described above in addition to any other remedies available at law or equity. Merchant shall be responsible for reasonable collection costs and attorneys' fees incurred by Owner in collecting past-due amounts.

Term and Termination

The initial term of this Agreement shall commence on Start Date: / / and shall expire on End Date: / / unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice delivered to the other party not less than days prior to the intended termination date. For material breach, the non-breaching party shall provide written notice describing the breach and allow a cure period of days; failure to cure shall entitle the non-breaching party to terminate immediately.

Upon termination or expiration, Merchant shall vacate the premises, remove personal property, and return possession in the condition required by this Agreement, ordinary wear and tear excepted.

Confidentiality

Each party shall keep confidential all non-public business information, pricing, customer lists, trade secrets, and other proprietary information disclosed by the other party in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that is (a) already known without restriction by the receiving party, (b) publicly available without breach of this Agreement, or (c) independently developed. A receiving party may disclose Confidential Information to the extent required by law or governmental order provided that, to the extent permitted, the receiving party gives prompt written notice and uses reasonable efforts to obtain confidential treatment.

Insurance and Indemnification

Merchant shall maintain commercial general liability insurance, property insurance for Merchant's inventory and fixtures, and any other insurance required by law or reasonably requested by Owner. Merchant shall indemnify, defend and hold harmless Owner from and against any claims, liabilities, losses, or expenses (including attorneys' fees) arising out of Merchant's operations, negligence, or breach of this Agreement, except to the extent caused by Owner's gross negligence or willful misconduct.

Compliance with Laws

Merchant shall at its own expense obtain and maintain all permits, licenses and approvals required for Merchant's operation of the retail business and shall at all times comply with applicable federal, state and local laws, regulations, and ordinances governing the premises and the conduct of the business.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice of law principles.

Entire Agreement

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, proposals, representations, and agreements, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Owner may assign to a lender or successor in interest. Notices shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by notice to the other.
