RETAINER FEE AGREEMENT

This Retainer Fee Agreement ("Agreement") is entered into on by and between Service Provider Name: ("Provider"), and Client Name: ("Client").

WHEREAS, Provider is engaged in providing professional services as described below; and WHEREAS, Client desires to retain Provider and to engage Provider to provide such services under the terms and conditions set forth in this Agreement.

Engagement and Scope of Services

Provider shall perform the services described above and bill for time and expenses in accordance with the Fee Schedule below. Provider will use reasonable professional skill and care in performing services under this Agreement.

Client shall pay Provider an initial retainer in the amount of $ upon execution of this Agreement. The retainer shall be applied to fees and expenses as billed. Provider's billing rates and the method of applying the retainer are set forth in the Fee Schedule below.

Billing, Payment and Application of Retainer

Provider will render invoices to Client for fees and costs incurred and will apply amounts remaining from the retainer to outstanding invoices in the ordinary course of accounting. Invoices are due and payable within days of invoice date. Provider may withhold services pending payment of invoices and replenishment of the retainer.

Late payments shall accrue interest at a rate of compounded monthly, in addition to any collection costs and attorneys' fees incurred by Provider in collecting overdue amounts.

Provider shall account to Client for the application of the retainer on periodic invoices; any portion of the retainer remaining after final accounting following termination shall be refunded to Client within thirty (30) days unless otherwise agreed in writing.

Expenses and Disbursements

Client shall reimburse Provider for all reasonable out-of-pocket expenses incurred in connection with the services, including but not limited to filing fees, courier charges, travel, and third-party vendor fees. Provider may require an advanced deposit for estimated expenses.

Term, Termination and Effect of Termination

This Agreement commences on the date first written above and continues until the services have been completed or the Agreement is terminated. Either party may terminate this Agreement upon days' prior written notice to the other party. Upon termination, Provider shall render a final invoice for all fees and expenses up to the date of termination and shall apply the retainer as set forth above.

Confidentiality; Conflicts of Interest

Provider and Client each agree to hold in confidence all confidential information received from the other party and to use such information only in connection with the performance of this Agreement. Provider represents that, to the best of Provider's knowledge, no conflict of interest exists that would impair Provider's ability to perform the services.

Records, Audit and Retention

Provider will maintain reasonable records of time, fees and expenses and will provide copies to Client upon request. Provider may charge for the reasonable costs of producing such records.

Default; Remedies

In the event of Client's material breach, including nonpayment when due, Provider shall be entitled to suspend services, recover fees and expenses incurred, and obtain any other remedies available at law or in equity. The prevailing party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of laws principles. The parties shall attempt to resolve disputes in good faith before initiating litigation; nothing herein prevents either party from seeking injunctive relief where appropriate.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements and understandings. Amendments must be in writing and signed by both parties. If any provision is held invalid, the remaining provisions shall remain effective.
