Retreat Services Contract

Recitals

WHEREAS, Service Provider is engaged in the business of organizing and delivering retreat services, including facilitation, lodging coordination, meal planning, and program delivery; and

WHEREAS, Client desires to retain Service Provider to provide a retreat to be held at the location and on the dates set forth below, and Service Provider agrees to provide such services under the terms and conditions of this Agreement; and

WHEREAS, the parties intend by this Agreement to define the scope of services, fees, responsibilities, and risk allocation for the retreat event.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. Services

1.1 Scope. Service Provider shall plan, coordinate and provide retreat services as described in the Service Description below, including program facilitation, venue coordination, lodging and meal arrangements, and on-site staff as required. Service Provider will perform services in a professional manner consistent with industry standards.

1.2 Location and Dates. The retreat will occur at on through .

1.3 Additional Services. Any changes to the scope requested by Client shall be mutually agreed in writing, and additional fees will apply where appropriate.

2. Fees and Payment

2.1 Fees. Client shall pay Service Provider the total fee of plus applicable sales or lodging taxes.

2.2 Deposit and Schedule. A non-refundable deposit of is due on or before . Remaining balance is due no later than .

2.3 Payment Method. Payments shall be made by the method specified in writing by Service Provider. Late payments incur interest at the lesser of 1.5% per month or the maximum rate permitted by law.

3. Cancellation; Force Majeure

3.1 Cancellation by Client. Client may cancel by written notice. If Client cancels more than days prior to the start date, Client forfeits the deposit only. If Client cancels within the cancellation period, Client is responsible for the full fee unless Service Provider rebooks the dates.

3.2 Force Majeure. Neither party shall be liable for delay or failure to perform due to causes beyond reasonable control, including natural disasters, pandemic orders, acts of government, or other events of force majeure. The affected party shall provide prompt notice and shall use reasonable efforts to resume performance.

4. Client Responsibilities

4.1 Client shall ensure timely provision of attendee counts, dietary and accessibility requirements, and all information necessary for Service Provider to perform. Client is responsible for obtaining any required permissions for use of premises.

5. Insurance and Indemnification

5.1 Insurance. Service Provider shall maintain general liability insurance adequate for the services provided. Client shall maintain event insurance as required by venue or as reasonably requested by Service Provider. Indicate if proof of insurance will be provided: Yes

5.2 Indemnification. Each party shall indemnify, defend and hold harmless the other party from and against all claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach, negligence, or willful misconduct, except to the extent caused by the indemnitee's negligence or willful misconduct.

6. Confidentiality; Intellectual Property

6.1 Confidential Information. Each party shall maintain in confidence information disclosed by the other party that is marked or reasonably understood to be confidential, and shall not use such information except to perform obligations under this Agreement.

6.2 Intellectual Property. Service Provider retains ownership of program materials and any original works of authorship provided to Client, and grants Client a limited, non-exclusive license to use such materials for the retreat only, unless otherwise agreed in writing.

7. Termination

7.1 Termination for Cause. Either party may terminate this Agreement for material breach if the breaching party fails to cure within fifteen (15) days of written notice. Termination shall not relieve Client of obligation to pay for services performed prior to termination.

8. Limitation of Liability

8.1 Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, special, punitive or exemplary damages. The aggregate liability of either party for any claim arising out of this Agreement shall not exceed the total amounts paid by Client under this Agreement.

9. Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as either party designates in writing.

10. Amendments; Waiver; Counterparts

10.1 Amendments. This Agreement may be amended only by a written instrument executed by both parties.

10.2 Waiver. No waiver of any breach shall be deemed a waiver of any subsequent breach. Any waiver must be in writing.

10.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

11. Governing Law; Entire Agreement; Severability

11.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state specified by the parties as the governing jurisdiction:
